AQUIS STOCK EXCHANGE

Shell company Greencare Capital (GRE) is changing its investment strategy and name to MaxRS Ventures. Instead of seeking a cannabis-related acquisition, the company will try to identify opportunities that are undervalued or would benefit from being consolidated with other companies in its market. These would be technology type businesses and initially life sciences, crypto technology, impact investing and retail companies will be prioritised. The share price fell 12.3% to 25p. That valuation is still much higher than the interim net assets.

Lift Global Ventures (LFT) is asking shareholders to expand its investing strategy to include the energy sector. If this is approved, Tim Daniel and Paul Gazzard will resign as directors and they will be replaced Sandy Barblett and Roy Kelly.

Lekoil Ltd (LEK) is ending legal proceedings with Lekoil Nigeria and Olalekan Akinyanmi and it will surrender its shares in Lekoil Nigeria, which will in turn surrender its Lekoil Ltd shares. Lekoil Ltd is also waiving repayment of existing loans and lending $51.9 to Lekoil Oil and Gas Investments, which will take on certain loans granted to Lekoil Nigeria. Lekoil Ltd will change its name to Fenikso Ltd and a revised strategy will be considered. There should be some cash left after paying creditors.

Dermatology and oncology treatments developer Incanthera (INC) is continuing discussions with potential partners for its skincare formulations. There was a £267,000 cash outflow from operating activities in the six months to September 2022. There is £28,000 left in the bank.

Investment company Gunsynd (GUN) net assets fell from £6.3m to £3.85m at the end of July 2022. There was a £1.95m reduction in the value of investments and the rest relates to the costs of running the company.

Clean Invest Africa (CIA) raised £155,000 at 0.5p a share – every two shares come with a warrant exercisable at 1.5p. The share price fell 15.4% to 0.275p. Clean Invest Africa is running short of cash. Subsidiary Coaltech is finding that lead times to securing sales and deals have been longer than expected. Certain creditors owed £2.5m have agreed to subordinate that debt to other trade creditors.

Guanajuato Silver Company Ltd (GSVR) secured a $5m credit facility with Ocean Partners, which already provides a $5m facility. There will be a consolidated offtake agreement with Ocean Partners for 24 months to the end of December 2024.

BWA Group (BWAP) had £6,709 in the bank at then end of November 2022. Additional funding is still be sought. St Georges Eco-Mining Corp is seeking to convert a proportion of its loan into shares. The convertible relates to an acquisition that is subject to legal action.

Altona Rare Earths (ANR) has completed drilling within budget at the Mozambique Monte Muambe rare earths project. This will enable a maiden mineral resource estimate in the first quarter of 2023.

Ananda Developments (ANA) has published a general cannabis research round-up, including a pilot study that indicates that a cannabis-based spray can help alleviate cancer pain.  Ananda points to research that suggests that an individual’s genetics could predict the effects of cannabis.

AIM

Motor dealer Vertu Motors (VTU) has announced the proposed acquisition of Helston Garages Group Ltd for £117m. This deal will be significantly earnings enhancing. Helston Garages is based in the south west of England and it has 28 outlets. This takes the group into Volvo and Ferrari for the first time. Zeus has increased its 2023-24 earnings per share forecast by 18.7% and by 24.7% for the following year when £3.2m of cost savings should be achieved.

Ashtead Technology (AT.) is buying subsea mechanical services provider Hiretech for £20m in cash. This has boosted 2023 earnings forecasts by 13%. Hiretech is already a supplier to Ashtead Technology.

Fund manager Mercia Asset Management (MERC) has acquired Frontier Development Capital for up to £9.5m. This enhances its business lending activities and brings £415m of funds under management. NAV was 46.8p a share at the end of September 2022.

Crestchic (LOAD) is recommending a 401p a share cash bid from Aggreko, which values the loadbank manufacturer and renter at £122m.

Audio equipment supplier Focusrite (LON: TUNE) edged up full year revenues thanks to positive currency movements, which was impressive given the Covid lockdown boost to demand in the previous year, but underlying pre-tax profit fell from £40.7m to £33.8m. Higher costs put pressure on margins. Asia Pacific was a particularly strong market last year. The total dividend was higher than expected at 6.1p a share. There was a positive start to the new financial year, although Focusrite will do well to maintain its profit this year.

International payments provider Equals (EQLS) says full year results will be better than expected. Canaccord Genuity has increased its 2022 pre-tax profit forecast from £10.3m to £10.8m. Last week, Equals acquired open banking platform Roqqett for up to £2.25m, subject to regulatory approval by the FCA.

Trident Royalties (TRR) is selling a portfolio of pre-production gold royalties, including Spring Hill, to Franco-Nevada for up to $15.8m – $1.25m is not payable until the Rebecca gold project goes into production. The royalties were bought for $6.5m. This leaves Trident Royalties with pro forma cash of $35m. A debt restructuring will reduce the interest charge by up to 2% and extend the facility by one year to the end of 2025.

Virtual reality and life sciences software provider Oxford Metrics (OMG) edged up revenues from £27.6m to £28.8m in the year to September 2022, but pre-tax profit decreased from £4m to £2.6m. The order book is worth £24m. The sale of Yotta left Oxford Metrics with £67.7m in cash. There is caution about acquisitions because price expectations are too high. Even so, pre-tax profit is set to rebound to £5.9m this year.

An initial contribution from Custom Power helped Solid State (SOLI) to increased interim pre-tax profit by three-fifths to £5.2m and the full year pre-tax profit could be £10.5m. There was strong growth from the components and systems divisions. There is high demand for the power products.

Automotive interiors supplier CT Automotive (CTA) has been hit by further supply chain disruption and production of new orders started later than anticipated, which has delayed profit recognition. A full year loss of $11m is forecast. A new facility has opened in Mexico, but it was later than expected. Net debt is $11.6m.

Mergers adviser K3 Capital (K3C) has received a 350p a share bid proposal from Sun European Partners.

Cote d’Ivoire-based Dekel Agri-Vision (DKL) continues to benefit from high crude palm oil prices, which is near to its highs in the local market. Crude palm oil extraction rates improved to 20.9% in November 2022, although production fell by more than two-fifths to 1,535 tonnes.

MAIN MARKET

Medicinal cannabis cultivation company Hellenic Dynamics reversed into former AIM-quoted shell UK Spac in an all share deal. Hellenic Dynamics (HELD) also raised £750,000 at 0.3p each. Hellenic Dynamics intends to operate a 195,506 square metres facility in northern Greece for the cultivation, production and export of THC-dominant strains of dried medicinal cannabis flowers and extracted oils of strains of medicinal cannabis flowers. The company has an installation/ construction licence. The company still has to obtain an operations licence in Greece so that it can sell the cannabis flowers and extract that it will produce.

Major shareholder MS Galleon has put forward three votes for the forthcoming AGM of tiles retailer Topps Tiles (TPT) through a requisition notice. It wants to remove chairman Darren Shapland and have Lidia Wolfinger and Michael Bartusiak appointed as non-executive directors. The Topps Tiles board recommends voting against the resolutions. MS Galleon holds 29.9% of Topps Tiles and it owns Cersanit, which is a major European tiles producer that wants to become a more significant supplier to Topps Tiles.

Finance provider S&U (SUS) says lending volumes have continued to be strong since the end of July. Write-downs remain relatively low and higher interest charges are offset by increased revenues. Pre-tax profit is set to decline this year, but it should still be more than £40m and total dividends could be 134.9p a share.

BATM (BVC) says a delay to a diagnostics contract will reduce the expected 2022 revenues. Shore Capital has reduced its forecast from $147m to $120m. That reduces pre-tax profit to $1.8m with a recovery to $17.4m forecast for 2023.

Bluebird Merchant Ventures (BMV) has raised £230,000 at 2p a share and this will fund the application for the temporary mountain use permits, which should be received in early 2023. There are negotiations with a streaming fund for the capital required to develop the high grade Kochang gold and silver mine in South Korea

A major 10-year contract announced by Carclo (CAR) for components for diagnostic units has been cancelled. This was expected to generate revenues of up to £15m each year. Carclo is in discussions concerning a commercial settlement, because tooling contracts have been delivered.

Full year revenues of Mears (MER) should reach £950m and pre-tax profit should be £33.5m. Net cash is likely to be more than £55m.

Arbuthnot Banking (ARBB) says customer loan balances had increased by 4% in the quarter to March 2020. Customer deposits increased by 2%. There were net inflows to the investment management business despite the uncertainty in the markets.

Gunsynd (GUN) has extended the deadline for the Oyster Oil and Gas deal from 30 April to 30 October. If the conditions are not satisfied by October, then the sale of the Oyster shares can be terminated.

Inqo Investments (INQO) says that its February 2020 accounts may not be published until September because of delays to audits. The company’s investments have been affected by COVID-19. Kuzuko Lodge in South Africa was closed in early April and Inqo believes that it could take another two years to fully recover. Kentegra Biotechnology and South Lake Medical Centre in Kenya are both continuing to trade. Four One Financial Services could find trading difficult.

Eastinco Mining (EM.P) is completing the wash plant and starting operations at its tantalum mine in Rwanda. Cash is running out and management wants to raise cash through the exercise of warrants at 1.5p each. If 30% of warrants are exercised it will raise £700,000. If a shareholder exercises warrants, they will receive another warrant exercisable at 3p a share. The cash raised will finance capital investment and exploration.

NQ Minerals (NQMI) has raised £151,000 at 5.75p a share. SulNOx Group (SNOX) has raised £230,000 at 40p a share. Each share comes with a warrant exercisable at 40p.

Belvedere Leisure (BELV) says that the COVID-19 lockdown has stopped it obtaining additional subscriptions. Phase one of the company’s development will be split into two parts. The first 50 self-catering lodges are due to open next February.

Veni Vidi Vici (VVV) had cash of £354,000 at the end of 2019. The company is committed to paying A$300,000 towards initial spending of the joint venture that holds the Shangri La gold, copper and silver project in Western Australia.

Two directors and a managing partner of EPE have bought shares in EPE Special Opportunities (ESO) at 160p each. The total amount invested is £44,259. Boston Trust Company has increased its stake from 2.9% to 4.3%.

AIM

Amryt Pharma (AMYT) has moved into a positive EBITDA position in the first quarter, which is earlier than expected. The orphan drugs provider is on course to generate revenues of $172m this year. An underlying EBITDA of $19.5m is forecast for 2020 and that move above $50m next year. Amryt has cash on the balance sheet that is more than enough for its current requirements, but there is also debt, including convertibles. Net debt is expected to increase to $160m by the end of 2020 before reducing the following year.

Acquisitions helped Focusrite (TUNE) to grow in the first half. There was a decline in the revenues of continuing operations, although trading was strong in the corresponding period. Overall revenues were 24% ahead at £49.9m. there were first time contributions from ADAM Audio and Martin Audio (two months). Lower margins and higher interest charges meant that pre-tax profit fell from £7.15m to £6.38m. Focusrite has moved into a net debt position due to the money spent on acquisitions. Martin is likely to be hardest hit by lockdowns around the world due to its event-based customers, whereas demand for other products is holding up as people make music at home.

Payments platform provider Bango (BGO) has signed a new deal that should be worth £1.5m over three years and there is potential for it to be worth even more. Bango could move into profit this year.

Appreciate (APPS) says that the first 11 months trading was in line with expectations, but March trading was hit by COVID-19. Corporate activity has declined by around two-thirds, while Christmas savings have fallen 10%. There was still free cash of £30m at the end of March 2020. This year’s figures will be much harder hit by COVID-19 and profit is likely to plummet. Achieving a profit will be dependent on an upturn in the second half. Cash is also likely to decline.

MAIN MARKET

Diversified Gas and Oil (DGOC) moves from AIM to a premium listing on 18 May. Diversified has raised £69.4m at 108p a share. This cash will go towards financing two potential oil and gas asset acquisitions. Trident Resources (TRR) will be going in the opposite direction on 2 June.

AQSE and AIM-quoted Arbuthnot Banking (ARBB) improved its underlying pre-tax profit from £4.4m to £5.8m in 2019, while the second interim dividend is 5% higher at 21p a share. This does not have to be agreed at an AGM. NAV rose from 1283p a share to 1364p a share. The total capital ratio has edged up from 17.2% to 17.3%.

Newbury Racecourse (NYR) says that its insurers stipulated that COVID-19 was excluded from the insurance for the abandonment of race meetings. There will be a significant loss of revenues even if horse racing remains suspended until the end of April. Events, the hotel and the nursery will also be hit. There are bank facilities that should be enough to cover needs for the foreseeable future and the company is talking with its lenders. Management still expects David Wilson Homes to make a further payment of £10.9m for the development sites it has acquired.

Employee-owned businesses investor Capital for Colleagues (CFCP) believes that the value of its investments has declined by up to 15% since the end of February. NAV will have fallen from 50.17p a share to a range of 42.6p a share to 45.1p a share. That offsets the increase in the previous six months.

Hydro Hotel, Eastbourne (HYDP) is cancelling its interim dividend of 14p a share. The hotel has been temporarily closed.

KR1 (KR1) has invested $65,000 in the Acala Network project and will receive 866,666.67 tokens at 7.5 cents each. Acala will offer a stablecoin that can be transferred across different blockchains and collateralised with digital assets.

Cadence Minerals (KDNC) says that its 4.1%-owned investee company Macarthur Minerals is seeking a partner for its Lake Giles iron ore project in Western Australia. Another investee company, 16.7%-owned AIM-quoted European Metals Holdings (EMH), has secured a strategic investment by CEZ in the Cinovec project. CEZ will subscribe for a 51% stake in the company that owns the project, subject to EMH shareholder approval. The price payable has been reduced from €34.1m to €29.1m.

AFH Financial (AFHP) non-executive director has invested nearly £25,000 in the IFA at 198p a share.

Clean Invest Africa (CIA) says that subsidiary Coal Agglomeration South Africa has stopped activities until 16 April, which is in line with the government lockdown.

EPE Special Opportunities Ltd (ESO) has cash of £26.4m and it could defer the July repayment of £2m of its £3.9m convertible loans, so it is in a strong position to cope with the effects of COVID-19.

Eastinco Mining and Exploration (EM.P) has suspended mining in Rwanda because of COVID-19. This will be for an initial two weeks. Planning for continues exploration will continue.

NQ Minerals (NQMI) has employed consultants to prepare a mine reopening due diligence study on the Beaconsfield gold mine.

TechFinancials (TECH) is exercising its option to acquire shares in Cedex Holdings and the resulting stake will be 97.3% or 90.8% fully diluted. The company will consider disposing of the stake.

World High Life (LIFE) is holding a general meeting on 14 April in order to gain shareholder approval for each existing share to be sub-divided into ten new shares.

First Sentinel (FSEN) has issued a further £245,000 of bonds. This takes the total value of bonds in issue to £1.23m. Trading in First Sentinel 7% bonds, February 2023, First Sentinel preference shares and EPE Special Opportunities 7.5% unsecured loan stock, 2022 has started again after the market maker resumed activities.

AIM

Novacyt (NCYT) has signed a contract manufacturing deal with Yourgene Health (YGEN) for its COVID-19 test. The initial plan is for Yourgene to manufacture critical components. A global distribution agreement for the COVID-19 test has been secured with Bruker-Hain Diagnostics for use on its instruments. The Philippines has approved the test for commercial use.

Graphene materials supplier Applied Graphene Materials (AGM) has successfully reduced its cost base and it had £4.3m in the bank at the end of January 2020. This should last until the second half of 2021. Revenues remain small but a number of coatings products using the company’s graphene have been launched in the past year. There is a pipeline of additional products.

Cyber security services provider ECSC (ECSC) is still losing money, but it is generating cash. In 2019, ECSC revenues grew by 10% to £5.91m. Managed services revenues increased by 48% to £2.61m. Managed services has additional capacity and as more work is won margins could continue to improve. Consulting revenues dipped slightly to £2.9m, although they did grow in the second half. The other revenues come from third party products and other services.

Secure payments systems provider PCI-Pal (PCIP) is raising £5m at 30p a share. The cash will finance sales and marketing in North America and further product development. There will also be additional flexibility for any medium-term effects of COVID-19.

Georgia-focused oil and gas company Block Energy (BLOE) is acquiring two blocks adjacent to its own from Schlumberger. They include Block XIB, which is Georgia’s most productive block, although the peak production was in the 1980s. This will boost Block’s production by 245 barrels of oil per day. There is also another exploration block and a central production facility being acquired. There are 14 years remaining on the permits for the two blocks. Block is paying for the assets with 120 million options exercisable at nil cost. They are deemed to have a value of 5 cents each. The options can be exercised between 12 and 24 months from completion.

Replacement windows and doors supplier Safestyle UK (SFE) has temporarily ceased installations. Safestyle believes with cost reductions and government assistance it will be able to cope with the closure of activities until after the end of June.

Wynnstay Group (WYN) is still paying its 9.4p a share final dividend. Trading in the four months to February 2020 was subdued but in line with expectations. The company’s agricultural stores have been allowed to stay open. There may be some additional costs relating to COVID-19.

Geospatial software provider IQGeo (IQG) has secured an expansion to its contract with Tokyo Electric Power Company, which is worth £1.8m over three years.

MAIN MARKET

Trident Resources (TRR) is becoming a mining royalty company and moving to AIM. The first acquisition is a 1.5% free on board revenue royalty over part of the Koolyanobbing iron ore operation in Western Australia for a staged cash consideration of A$7m. There are plans to increase production from an annualised rate of 11Mtpa to 15Mtpa by the end of 2020. The initial payment is A$4m and the other A$3m is payable one year after completion. The most recent quarterly royalty was A$731,000. Further royalty interests are set to be acquired. A fundraising is planned and the company will change its name to Trident Royalties.

Dev Clever (DEV) says that COVID-19 restrictions have increased demand for its SaaS-based career guidance platforms. The US launch was in April.

Nanoco (NANO) says Merck has issued three-month notice of termination of its cadmium-free quantum dots licence agreement so that the licence can be renegotiated. The existing licence had minimum annual royalties. Merck continues to buy materials.

Spinnaker Opportunities (SOP) says that an investor commitment to provide £1.4m for the company when it acquires Kanabo Research has been terminated. This arrangement was made in July 2019 and the acquisition of the medicinal cannabis company has still not been completed.

Zenith Energy (ZEN) is amending the terms of the purchase of 80% of the Anglo American Oil and Gas (AAOG) subsidiary that owns 56% stake in the Tilapia oilfield in the Republic of Congo. The purchase price has been reduced by one-fifth to £800,000 and it will be paid in ten monthly instalments. Zenith will no longer issue any shares and it will not be providing a £250,000 secured loan facility.

Books publisher Quarto (QRT) says revenues fell from $149.3m to $135.8m in 2019 but it did return to profit. Banking facilities have been extended to July 2021.

Dukemount Capital (DKE) says the Wavertree project is at the final fit out stage, but work has been suspended due to COVID-19. There are 16 apartments and offices on the site in north west England.

NQ Minerals (NQMI) generated gross revenues of A$15.5m and gross profit of A$7.4m from Hellyer gold mine in the fourth quarter. Full year revenues were A$53.9m and operating profit was A$12.2m. The profit grew steadily quarter by quarter. NQ has raised £311,000 at 7p a share. In December, £300,000 was raised at 6.5p a share.

Clean Invest Africa (CIA) says that is subsidiary Coaltech has signed a memorandum of understanding with the Uzbekistan ministry of innovation and development and Uzbekistan Railway. The coal fines project could have an initial value of $16m. A plant would be built to process coal fines into coal pellets. Coal mining is an important industry in Uzbekistan. There will be feasibility studies and the development of a business plan. This deal comes via the joint venture with Creon Investments, which is focused on Russia and former Soviet Union countries.

Ganapati (GANP) says that its Malta-based subsidiary has signed a two-year endorsement agreement with Welljam, which owns the rights to Usain Bolt’s services and image rights. Ganapati has is launching the first official Usain Bolt online slot game when the Tokyo Olympics are held during the summer. Usain Bolt will be attending the ICE London iGaming event in February. There are initial licence payments for image rights during the development of the slot game and a share of future revenues.

Ananda Developments (ANA) says that its investee company iCAN Israel-Cannabis has raised money via a convertible that places a pre-money valuation of $20m on the company. Ananda invested $200,000 in a convertible loan in August 2018 and $100,000 of the loan has been converted into 120 shares worth $200,000 at the latest valuation. DJT Plants, which is 50%-owned by Ananda, has received planning permission for the construction of a facility for cannabis plant breeding and propagation.

Property investor Ace Liberty and Stone (ALSP) reported a dip in pre-tax profit from £334,000 to £306,000 in the six months to October 2019. The NAV improved from £21.2m to £21.9m over the six month period, even though £349,000 was paid in dividends.

Imperial X (IMPP) has switched its investing strategy back from medicinal cannabis to energy-related businesses. The focus is building a royalty stream from oil and gas interests.

Mark Leigh is taking over from Claire Spencer as finance director of Newbury Racecourse (NYR).

Broadband-focused shell SAPO (SAPO) has raised £27,500 at 2.75p a share.

Diverse Income Trust has reduced its stake in TechFinancials (TECH) to below 3%.

AIM

Lawyer Gateley (GTLY) generated organic growth of 10.5% in the first half and it is on course to meet analyst expectations for the full year. The main first half growth was in the corporate and pensions businesses. The most recent acquisition will take annualised non-legal revenues to 12% of the group total. A full year pre-tax profit of £21.3m is forecast.

Regional legal business Knights Group (KGH) increased interim revenues by one-third to £32m through a combination of acquired and organic growth. Underlying earnings were 9% ahead at 5.95p a share. Net debt was £17.1m at the end of October 2019. The interim dividend was raised by 83% to 1.1p a share, although Knights was not quoted for all the comparative period. Two Birmingham-based firms have been acquired since the period end.

Legal firm Ince Group (INCE) raised £12m at 45p a share. The share price has more than halved since the beginning of the year. The January 2019 placing was at 140p a share. There are plans to raise £2m by a one-for-8.398 open offer and £2m via an offer to staff. The cash will enable the working capital facility to be reduced and finance investment in building up staff numbers. Net debt was £10.4m at the end of September 2019.

Pharmaceutical services provider Ergomed (ERGO) has acquired Ashfield Pharmacovigilance Inc for $10m and this will be earnings enhancing in 2020. The deal boosts Ergomed’s position in pharmacovigilance services and gives it a stronger position in the US. Ashfield has annual revenues of $11.6m and contracted future revenues of $9.8m.

Dekel Agri-Vision (DKL) has established a 50/50 renewable energy joint venture with Green Enesys that will operate a 36MW hybrid power (solar and biomass) project in Ivory Coast. This should reduce costs at the palm oil project in Ayenouan. There could be other potential power projects in the region. Dekel is benefiting from the recovery in the crude palm oil price. It produced 37,649 tonnes of crude palm oil in 2019, even though poor weather led to disappointing fourth quarter production. Later this year processing of cashew nuts should commence.

Biopesticides developer Eden Research (EDEN) generated revenues of £2m in 2019, down from £2.8m, and an operating loss of £1.4m. Product revenues grew even though the summer weather restricted usage of Botrytis.

Lettings agency The Property Franchise Group (TPFG) is setting up a financial services division. Acquisitions are planned and the first is a 72.25% stake in Auxilium Partnership, which is the business of newly appointed financial services director Mark Graves. This has been a source of growth for rival Belvoir (BLV).

D4T4 Solutions (D4T4) has confirmed that its second half trading is much stronger than the first half thanks to the contracts won by the Celebrus data analysis software business. The financials sector has been a productive customer base for Celebrus. D4T4 is increasingly winning SaaS business and this could hold back short-term growth, which could lead to the trimming of 2019-20 forecasts.

Instem (INS) continues to increase its recurring revenues. The pharma software company generated organic revenues growth of 12% in 2019. Pre-tax profit is expected to be £3.3m. Net cash was £5.9m. A jump in profit to £4.7m is forecast for 2020.

Estate agency Winkworth (WINK) says 2019 profit was modestly ahead of expectations and a total dividend of 7.8p a share is proposed, which is higher than forecast.

Telit Communications (TCM) did better than expected in 2019 and excluding the former automotive activities revenues grew by 8%. The internet of things technology developer is forecast to make a 2020 pre-tax profit of £20.1m.

Pharma data analytics firm Diaceutics (DXRX) generated more cash tan expected last year and made a small profit. Thee was cash of £11.7m at the end of 2019. The 2020 pre-tax profit could be £800,000.

Barkby Group (BARK) has exchanged contracts on a development site in Huntingdon, which has a gross development value of £10.7m.

Risk management software developer KRM22 (KRM) says 2019 revenues were slightly lower than expected at £4m. Delayed contracts are expected to be signed soon.

Telematics firm Quartix (QTX) managed to maintain revenues at £25.6m in 2019 and a small increase is expected in 2020. The mix of revenues has changed with fleet generating 80%, up from 73%, thanks to growth in the US and France. Insurance revenues fell as expected as low margin business was shed. Pre-tax profit is still expected to decline from £8.2m to £6.6m in 2019, with a further fall to £6.3m forecast for 2020. The dividend is expected to be reduced from 12.4p a share to 12.1p a share, although it will not be fully covered by earnings.

Base Resources (BSE) has increased production guidance for the Kwale mine with midpoints of 78,000t for rutile, 345,000t for ilmenite and 30,500t for zircon. There is a lack of supply of rutile and ilmenite, so this is good news. This should provide a strong boost to profit.

Pressure Technologies (PRES) has been fined £700,000 and will have to pay prosecution costs of £169,000 following the guilty verdict relating to a fatal accident at one of its sites in 2015. The first instalment of £215,000 is due in April with a further six equal instalments payable every six months between July 2020 and January 2023.

Oil and gas explorer and producer Empyrean Energy (EME) is raising £420,000 at 9p a share and chief executive Tom Kelly has contributed £200,000 of that cash. The placing was at a 9% premium to the market price. The cash will be spent on drilling offshore of Indonesia. There is a potential resource upgrade for the Mako gas discovery in Indonesia.

Mereo BioPharma (MPH) says that there have been positive results from the phase 2b study of Setrusumab in adults with osteogenesis imperfecta. They show that it is helping to build bone. A study with children is planned. A meeting with the FDA is due in the coming weeks. Earlier this year, Mereo signed a licence agreement for the use of Navicixizumab in ovarian cancer with Oncologie Inc. An upfront payment of $4m is due.

Nutrition provider Science in Sport (SIS) expects to report 2019 sales of £50.5m with underlying growth of nearly one-quarter. The fastest growth is outside of the UK. River and Mercantile has taken a 5.5% stake.

MAIN MARKET

Shareholders in AIM-quoted Anglo African Oil and Gas (AAOG) have agreed to the sale of 80% of its Congo subsidiary to Zenith Energy (ZEN) and it is waiting for government approval. There is a put and call option over the other 20%. If the call option is exercised Zenith will pay £1m in shares. If the production at the Tilapia oilfield averages at least 4,000 barrels of oil per day for 30 consecutive days, the put option can be exercised and Zenith would pay £2.5m in shares.

Endeavour Mining Corporation has ended its merger discussions with gold miner Centamin (CEY) blaming a lack of information. Endeavour still believes that a combination would be positive. Centamin is raising its final dividend to 6 cents a share, taking the 2019 total to 10 cents a share, up from 5.5 cents a share. Net cash was $348m at the end of 2019. The higher gold price will further boost cash generation. A new chief executive still has to be appointed.

Standard list cash shell Trident Resources (TRR) has £3.29m in cash at the end of October 2019, which is similar to NAV. Management is assessing a few mining project acquisition opportunities.

Stevia sweeteners producer PureCircle Ltd (PURE) says that shareholders owning more than 10% of the share capital have put forward three proposed directors to be voted on at the AGM on 10 February. The company is happy for Sridhar Krishnan, Lai Hock Meng, a former PureCircle director, and Oliver Maes, who was previously a PureCircle director, to be appointed to the board.

Books publisher Quarto (QRT) is raising £13.9m at 68p each. The open offer is underwritten and it will help to reduce the debt burden.

Menswear retailer and hirer Moss Bros (MOSB) Total sales were 3% lower in the 24 weeks to 11 January, but gross margin improved. Hire revenues fell by 17.7%. Cash is £12m.

OTHER MARKETS

Pallets manufacturer RM2 International (RM2) intends to move from AIM to matched bargains market Asset Match (www.assetmatch.com).

NEX EXCHANGE

Bruce Pubs (PUB) has raised £100,000 from an issue of 7.2% bonds and trading has commenced on NEX. The pubs operator wants to raise up to £20m. The cash will be used to acquire pubs in Scotland. Bruce owns 18 licenced premises with another licence pending. Bruce Pubs is a subsidiary of the holding company Bruce Group, which had net assets of £3.8m at the end of June 2018.

Sativa Investments (SATI) is investigating ways of raising cash to finance the company’s glasshouse and working capital for the first cannabis crop. There are also talks with vets about using medicinal cannabis in animal health. Sativa is pleased with the platform that NEX has given the business. Imperial X (IMPP) is the latest NEX company to change its investing strategy to cannabis investments.

Trading in the shares of Clean Invest Africa (CIA) following news that it has negotiated an agreement to acquire the 97.5% of CoalTech LLC it does not own. The company has technology that can convert waste coal into coal pellets for industrial and commercial use. A circular will be sent to shareholders in the first quarter of 2019.

Primorus Investments (PRIM) has increased its stake in Greatland Gold (GGP) to 35 million shares, which is equivalent to 1.09%. The average cost is 1.71p a share. The investment has been made ahead of further drilling results at the Havieron gold/copper project in Australia.

EPE Special Opportunities (ESO) reported a NAV of 189.95p a share for the end of 2018.

AIM

President Energy (PPC) beat its production target for the end of 2018. The Argentina-focused oil and gas company was producing 3,300 boepd by the year end, which is 10% above the target. The latest drilling programme of three wells has been a 100% success. President intends to build on this base during 2019. The next reserves audit should be published in March. There should be a significant jump in profit in 2019. Panmure Gordon forecasts a 2019 pre-tax profit of $18.6m. The cash generated will help to finance forecast capital investment of around $40m during the year. The target price is 15p a share.

Gateley (GTLY) continues to trade strongly with organic growth supplemented by contributions from acquisitions. The legal services provider increased interim revenues by one-fifth to £46.4m, while pre-tax profit rose from £4.2m to £5m. Net debt increased from £7.1m to £8.2m after acquisitions spending and dividend payments. The second half tends to be more cash generative. More business is coming from litigation work but management is confident that its revenue recognition policies mean that the strong cash generation will not be hit.

Castleton Technology (CTP) is paying £1.8m for Deeplake Digital, which provides digital communications services between landlords and tenants. Thirty of its 90 customers are new to Castleton.

ATTRAQT (ATQT) is expecting to make a small EBITDA figure for 2018. The online shopping performance enhancement services provider will report its 2018 results on 14 February.

More woe for Footasylum (FOOT) as gross margins come under pressure. Revenues were in line with expectations over Christmas but less money was made from them as old stock was discounted. The 2018-19 loss forecast has been edged up to more than £5m.

Higher input costs mean that Accrol Group (ACRL) will not do as well as expected and it will make a significant 2018-19 loss after exceptional charges.

Packaging machinery supplier Mpac Group (MPAC) says 2018 trading was in line with expectations and the year has started with a strong order book. The company is assessing the potential additional cost of pension equalisation for its defined benefit scheme.

Bowleven (BLVN) is paying a 15p a share special dividend on 8 February. This will leave the oil and gas explorer with the cash it requires for its exploration programme.

Wealth manager Mattioli Woods (MTW) says that its interim EBITDA margin was substantially ahead of the 20% target. Gross discretionary assets under management were £2.4bn at the end of November 2018.

Churchill China (CHH) had a strong finish to the financial year with a better second half performance in the UK. The 2018 profit will be higher than expected. The figures will be published on 27 March.

Shoe Zone (SHOE) stands out amongst its peers because it has had strong 2017-18 figures and a good Christmas. Last year’s pre-tax profit improved from £9.5m to £11.3m. Forecasts have been upgraded with 2018-19 earnings per share increased from 16.4p a share to 17.6p a share based on flat profit and a higher tax charge.

Quiz (QUIZ) sales continue to decline, albeit at a slightly lower rate of 5% like-for-like. The fashion retailer had to discount and gross margins were two percentage points lower. Overheads are also too high because of the lack of growth. The full year profit forecast has been cut from £6m to £4.4m.

A North African order for the Helios product supplied by Starcom (STAR) has been delayed until 2019 so 2018 revenues will be lower than expected. The total order value is $1.1m and the majority was expected to be recognised in 2018. Even so, revenues were better than expected, but the loss will be higher.

A general meeting has been requisitioned at Angus Energy (ANGS) by shareholders owning 6.2% of the company. It is believed that former chairman Jonathan Tidswell-Pretorius is behind this requisition, which involves the proposed removal of Paul Vonk from the board and the appointment of the Earl of Lucan and George Bingham. Non-exec Rob Shepherd has resigned. Angus has entered into a 24 month, £3m loan facility with YA II PN Ltd and Riverfort Global Capital in order to finance the development of the Balcombe field in the Weald basin. A £1.5m drawdown is planned immediately.

Rose Petroleum (ROSE) has acquired additional acreage in the Paradox Basin in Utah at a cost of $35,000. Rose believes that the new acreage could have an NPV10 of around $12m. The deal follows the results of the Schlumberger study which suggests that the site of a proposed well in the area should be in an optimal position.

Diurnal Group (DNL) has been granted a second patent for hydrocortisone treatment Chronocourt, which already has orphan drug designation. The patent lasts until 2033.

A £2m subscription and $5m investment into an internal finance note by 1795 Volantis Fund will provide Obtala Ltd (OBT) with additional funds. 1795 Volantis Fund will own 12.9% of Obtala, as well as 40 million warrants exercisable at 10p each. The disposal of a Tanzanian agricultural business will bring in a further $2.5m. Obtala intends to acquire the 25% it does not own in Montara Continental for $5m, which will be reinvested in the internal finance note.

Fuel cell developer Proton Power Systems (PPS) will own 33.33% of Hamburg-based Clean Logistics, which is being set up to build heavy trucks powered by fuel cell hybrid systems in the range of 75kw-150kw. The other two equal shareholders are Hopen, which has interests in battery and electric vehicle developers, and modular transport service provider Hary.

Sopheon (SPE) had a strong end to 2018. The software provider will provide more details in its trading statement later this month, when finnCap says it will reassess its forecasts.

Dekeloil (DKL) says that fourth quarter volumes were in line with expectations with a 2% increase in crude palm oil production on the third quarter. The annual production was 15% lower because of the weak first half. Selling prices have been at a premium to the market price. The purchase of a 43.8% stake in the Tiebissou cashew processing project has been completed.

Imaginatik (IMTK) has decided to sell its software business and assets to Planbox. The initial cash payment is $1.7m and up to $800,000 more could become payable. If it is all paid then the selling price would be higher than the book value of the assets. Imaginatik will become a shell with around £1m in cash left from the initial payment. If the disposal is approved by sharehodlers the company will change its name to Abal Group.

Telematics firm Quartix (QTX) continues to grow fleet sales but lower insurance sales are partly offsetting that growth. A supplementary dividend will be announced with the final dividend when the 2018 figures are published on 25 February.

Brighton Pier Group (PIER) says problems with the railways are hampering the income generation of Brighton Pier and earning shave been lower. The trading of the bars division was flat last year. Pre-tax profit will be around £3.2m, which is 18% lower than previous expectations.

Frontier IP (FIPP) says that its investee company Exscientia has raised $26m and is collaborating with Roche in a deal worth up to CHF67m. Frontier IP owns 3.32% of artificial intelligence-driven drug developer Exscientia.

MAIN MARKET

InnovaDerma (IDP) has revealed a 6% dip in first half revenues to £3.9m, even though retail sales grew strongly. Direct sales fell, although there are indications that they are recovering. The cosmetic products supplier will have to do well in the second half to achieve full year forecast revenues of £14.4m.

Trident Resources (TRR) has £1.85m in the bank at the end of October. The shell raised £4m when it floated in October. The balance sheet includes trade receivables of £2.1m, although management says that it started the year with just under £4m in cash. Potential acquisitions are being assessed.

National Milk Records (NMR) is recommending a dividend of 2.5p a share after it moved from an operating loss of £11.9m to an operating profit of £1.9m in the 12 months to June 2018. If one-offs are stripped out, then the operating profit has improved from £1.1m to £1.9m. Net debt is £1.8m. There has been an improvement in the dairy market over the past year. Demand is increasing for services related to animal welfare and health, as well as for reproduction services.

Coinsilium Group Ltd (COIN) has signed a strategic partnership with Lition Technology, which is developing a new blockchain infrastructure. This will be the first blockchain with deletable data features. A Lition token sale has commenced and the funding target is $25m.

EQE Special Opportunities (ESO) has sold its investment in Process Components for £13.6m and this has added 11.16p a share to EPE’s NAV, which is 216.31p a share.

KR1 (KR1) has sold its remaining Golem tokens for nearly $134,000. They were bought for 1.3 cents each and sold for 22 cents each in less than two years. The remaining Qtum tokens have been sold for $125,000, which is equivalent to more than twenty times the price per token they were acquired for.

Botswana-focused oil and gas company Karoo Energy (KEP) is confident that it will be able to raise the cash it requires before the end of the year. Contax Partners is keen to be involved in a fundraising. There are also plans to move to AIM and gain a listing on the Botswana Stock Exchange.

Via Developments (VIA1) has completed the construction of the Napier House development in Luton and 23 of the 30 apartments have been sold. Cash of £702,000 has been received with a further £3.64m to be paid on completion. The other seven apartments are valued at £1.5m.

Anthony Carr, a new investor, has acquired 1.785 million shares in healthcare IT supplier DXS International (DXSP) at 7p each. That is a 5.07% stake. Director Bob Sutcliffe has acquired 12,960 shares at 7.88p each, which takes his shareholding to 0.96%.

IMC Exploration (IMCP) has raised £120,000 at 1.2p a share and the cash will be used to finance the companies three main projects in Ireland.  New IMC chairman Eamonn O’Brien subscribed for 4.34 million shares taking his stake to 2.5%. NQ Minerals (NQMI) has raised £250,000 at 12.5p a share, while convertible loan notes worth £81,000 were converted into shares at 8p each. Imperial Minerals (IMPP) is raising up to £300,000 from an issue of unsecured convertible notes with an annual interest rate of 10%.

AIM   

Gooch and Housego (GHH) says trading for the year to September 2018 was in line with guidance. The optical equipment supplier improved its undersea cable equipment revenues in the second half and the industrial sector demand was strong. Acquisitions in aerospace and life sciences will help to offset any cyclicality in the industrial sector. The order book is worth £96.1m.

Avingtrans (AVG) reported slightly better than expected figures. The engineering company has started to reap the benefits of the Hayward Tyler acquisition but there is more to come. Revenues were 247% higher at £78.9m with the acquisition helping gross margin to improve to 25.5%. The underlying pre-tax profit was £2.4m and the total dividend 3.6p a share. A £4.3m profit is forecast for this year, rising to £5.3m in 2019-20.

Telecoms sector marketing services provider Pelatro (PTRO) will offer its loyalty management solution to Telenor’s global operations. The Danateq acquisition has helped Pelatro have the chance to win this work.

Event driven marketing services provider mporium (MPM) has deployed its IMPACT sports syncing technology with two large global advertising networks. This provides access to even more brands and will help to build revenues in order to reduce the loss.

DX (Group) (DX.) reported a reduced loss in the second half but the parcel delivery firm still made a large full year loss. A £4.5m profit is forecast for next year.

Myanmar-focused social media platform operator MySQUAR Ltd (MYSQ) generated revenues of $1.84m in the year to June 2018, with gaming revenues more than offsetting a decline in advisory income. However, second half revenues were barely higher than the first half revenues. Current monthly games revenues are flat. There is $2m in the bank.

MAIN MARKET   

Standard list cash shell Trident Resources (TRR) started trading on 1 October after £4m had been raised at 20p a share. Trident is seeking to acquire in the mining sector.  Ongoing costs are expected to be £130,000 a year with additional costs for due diligence on potential acquisitions.

Avocet Mining (AVM) says that it has enough cash for the next 12 months, as long as Elliott, which is the company’s largest shareholder, does not ask for its loans of $29.9m to be repaid. Avocet’s only asset is in the Tri-K development.

Flavour and fragrance ingredients supplier Treatt (TET) has done well enough in the second half to offset negative currency movements, so pre-tax profit for the year to September 2018 is in line with expectations. Like-for-like revenues grew by 9%. US manufacturing capacity expansion is on time and the relocation of the UK site is progressing well. The full year figures will be published on 27 November.
