AQUIS STOCK EXCHANGE

Good Energy (GOOD) says it is perming better this year than in the same period last year which included the start of the lockdown. Forward buying has improved margins. The smart meter rollout is accelerating.

Dispersion Holdings (DEFI) has invested C$200,000 at 18 cents a share in Defi Yield Technologies Inc. This gives it a 3.5% shareholding in the company that is developing a platform for decentralised financial services.

Altona Rare Earths (ANR) has raised £178,000 at 12p a share, which was a premium to the market price. Altona subsequently acquired up to 70% of the Monte Muambe rare earths project. It will take a 1% stake on signing the deal and increase it to 20% in phase 1 when £40,000 in cash is paid and one million shares are issued. In order to take a 70% stake a total of £240,000 in cash will be paid and three million Altona shares have to be issued. On top of this there are minimum expenditure commitments over three phases of the project.

Rogue Baron (SHNJ) says its bar in Washington DC increased sales by 38% to $225,000 in the three months to May 2021 even though capacity has halved. Trading in the shares has started on OTCQB.

Tectonic Gold (TTAU) is preparing to drill the Specimen Hill project in Queensland. There have been positive results from sampling and the structural modelling of the site has been completed.

Capital for Colleagues (CFCP) had net assets of 64.06p a share at the end of May 2021. It sold his investment in Anthesis Consulting for £1.15m during the period. There was cash of £2.65m at the end of May 2021.

DiscovOre (ORE) is changing its name to Oscillate. and it will focus on the medical psychedelic industry. This includes treatments for drug-resistant depression, anxiety, addiction and post-traumatic stress disorder.

Ananda Developments (ANA) expects to begin construction of a research facility in July. Strains of medicinal cannabis have been selected for research. Liberty Herbal Technologies has received a US patent for its vaping device.

CBD products supplier Sativa Wellness Group Inc (SWEL) has opened its 40th testing clinic for travellers and has introduced blood testing for Covid-19 immune response through some clinics. The clinics will be listed on the NHS Patient Access service.

Valereum Blockchain (VLRM) has raised £1m at 70p a share.

Virgata Services has extended its offer for Walls & Futures REIT (WAFR).

Tim and Charlotte Syder have increased their stake in Newbury Racecourse (NYR) from 4.5% to 8.7% and they appear to have been bought from Andy and Judith Stewart.

AIM

Printed circuit technology developer and supplier Trackwise Designs (TWD) has disappointed the market due to electric vehicle contract delays. Interim revenues more than doubled from £2.91m to £6.07m thanks to the initial contribution from Stevenage Circuits. A pre-tax profit of £200,000 in 2019 was turned into a loss of £400,000. There is currently net cash of £2.87m. The new factory should open later in the year.

Demand for Accoya wood continues to be strong, but Accsys Technologies (AXS) will not be able to increase production capacity until a new reactor is installed in the Netherlands later in the year to March 2022. In 2020-21, Accsys moved into profit and cash generation improved. A decision is awaited about how Accsys will make progress with the Hull Tricoya plant, where the contractor has resigned. Cash was raised in May to finance the US joint venture, but more cash may be required.

First Property (FPO) had to reduce the valuations of its owned Polish properties last year and that hit net assets. Management says that some of that valuation reduction should be reversed following a restructuring of the finance lease on one of the properties. NAV fell 22% to 42.8p a share at the end of March 2021 and it could improve to 48.8p next March. Loan to value is 45.3%. There is no final dividend.

In 2020, Dekel Agri-Vision (DKL) reported revenues of €22.5m and a reduced loss. The palm oil supplier will benefit from the higher palm oil price this year, enabling it to move into profit. The cashew plant will also make a contribution.

Musical instruments retailer Gear4Music (G4M) performed strongly last year, and revenues improved from £120.3m to £157.5m, while pre-tax profit jumped from £3.1m to £14.6m. This year will be tough, though. Pre-tax profit is forecast to fall back to £7.5m even though current trading is better than expected. The company has started buying existing brands. Premier is a drums brand and Eden is a bass amp supplier. Further acquisitions are likely.

Packaging manufacturer Robinson (RBN) says that revenues in the first five months of 2021 are 17% ahead of the same time last year. This is mainly due to an initial contribution from the Schela acquisition and passing on raw material costs – volumes are 1% ahead.

Jade Road Investments (JADE) had a net asset value of 67p a share at the end of 2020. There was an improved valuation of quarry company Future Metal Holdings. The three-year mining licence has been renewed and an independent assessment of the business will be published later this year.

Tristel (TSTL) has gained approval for foam-based surface disinfectant Jet from the EPA in the US. This will enable approvals to be sought with individual states. Tristel Duo, the disinfectant for ultrasound devices, has been approved in Canada and South Korea.

Vector Capital (VCAP) has raised £1.5m at 47p a share and this will be used for marketing and increasing the loan book. The cash raised at the end of 2020 has been deployed.

Location Sciences (LSAI) has given 12 months notice to its chief executive and finance director. They are continuing to work in the business.

MAIN MARKET

Nottinghamshire-based construction and infrastructure services provider NMCN (NMCN) has secured a highly dilutive rescue fundraising after falling into financial difficulties The company continues to lose money and the terms reflect the dire financial position. A £14m subscription is proposed, with a up to £5m more to come from an open offer. There is also a £10m convertible bridging loan – convertible at 20p a share and with fees and interest it equates to 62.4 million shares. Svella, which is run by former Stobart boss Andrew Tinkler, will subscribe for up to £7.4m of the subscription shares and provide the loan.

Fasteners supplier Trifast (TRI) reported slightly better than expected 2020-21 figures. Industrial activity is recovering. This year pre-tax profit is expected to improve from £11m to £12.9m.

Tirupati Graphite (TGR) has increased sales of its graphite products CarboflameX and GrafEN 45545 with trial and sample orders received. Land has been secured for a dedicated product development facility.

Cizzle Biotechnology (CIZ) has signed a deal to develop a companion diagnostic with St George Street Capital for certain of its potential autoimmune treatment assets that it has licensed. This deal takes Cizzle into a new area, but lung cancer remains the focus.

Zegona Communications (ZEG) is paying an interim divided of 2.6p a share. That is based on the dividend from Euskaltel and does not reflect the proceeds from the telecoms company’s takeover.

AQUIS STOCK EXCHANGE

CBD and hemp seed oil products supplier Voyager Life (VOY) has confirmed its flotation on Aquis on 30 June and the 295 Seedrs crowdfunding investors from earlier in 2021 will have the chance to participate in the associated fundraising. Seedrs Nominees Ltd currently owns 14.6%. A shop will be opened in St Andrews in Scotland during July. Greencare Capital (GRE) has a stake in Voyager Life.

Eastinco Mining and Exploration (EM.P) has agreed a joint venture with a Rwandan partner to explore mineral opportunities in southern Rwanda. Eastinco will own 70% of Kinunga Mining, while the partner will have 30% as a free-carried interest. Along with Incanthera (INC) and TruSpine Technologies (TSP), Eastinco is being moved from the Apex segment to the Access segment.

Block Commodities (BLOC) has extended its option to acquire a 70% stake in medicinal cannabis licence granted to Magnus Cannabis Group. The exclusivity period lasts until the end of August. Block has issued shares to pay creditors £77,395.

Gunsynd (GUN) has invested £218,000 in two million shares in base metals and lithium exploration company Charger Metals Ltd, which is planning to list on the ASX. It will raise at least A$6m before the listing in the third quarter of 2021. Gunsynd has increased its stake to 3.6 million shares. Gunsynd has raised £93,000 by selling part of its stake in Empress Royalty Corp.

BWA Group (BWAP) lost £3.64m in 2020, mainly due to a £3.59m loss on revalued assets. NAV is £1.75m.

Altona Rare Earths (ANR) has three acquisition contracts under negotiation. Management believes it can secure additional projects in Mozambique, Angola, Tanzania and Uganda. Altona would acquire a stake of at least 51%. A Main Market listing is expected by September.

Cadence Minerals (KDNC) says that Macarthur Minerals, in which it has a 1% stake, is spinning-out its non-iron ore assets in Pilbara into Infinity Mining, which will float on the ASX. Singapore-based Jin Sung may invest in Infinity and/or Macarthur.

The first six resolutions were not passed at the Early Equity (EEQP) AGM. There will be no changes to the board.

Trading has been restored in the shares of Black Sea Property (BSP).

AIM

Open Orphan (ORPH) has completed the demerger of non-core infectious disease assets in the form of Poolbeg Pharma, which will join AIM next month. Shareholders on the Open Orphan register on 17 June will be given one Poolberg share for every 2.98 Open Orphan shares they own. The influenza treatment and vaccines developer will be making an offer to private investors via PrimaryBid. The shares distributed by Open Orphan will initially be held centrally by Croft Nominees and investors will not be allowed to deal in them until nine months after the AIM admission of Poolbeg.

Future Biogas has also confirmed its plan to float on AIM. It currently operates ten anaerobic digestion plants supplying clean biogas. Future Biogas wants to move from developing projects and selling them on to retaining ownership of some of the plants it develops. There are plans to construct up to 25 over the next six years. These plants can cost up to £20m each. The company hopes to raise £35m and it already has £5m in the bank.

Tatton Asset Management (TAM) is generating investment inflows of £100m each month and total assets under management have reached £9.5bn. This has been achieved even though face to face meetings remain relatively rare with online meetings still dominating. Tatton is benefiting from the trend for IFAs to move funds to discretionary fund managers. Full year revenues increased by 9% to £23.4m. Underlying earnings jumped 23% to 14.7p a share. Organic growth can be enhanced by acquisitions. The target is £15bn assets under management in three years time.

Access Intelligence (ACC) is acquiring ASX-listed media intelligence services provider Isentia and raising £52m in a placing and offer at 120p a share. This deal will more than double group revenues. In the year to November 2022, group revenues could reach £75m and the enlarged group could make a small profit.

There was a full year contribution from CSS in the latest IG Design (IGR) figures and this helped to increase the proportion of revenues from craft products. Revenues increased from $624m to $873m, while pre-tax profit was flat at $38.6m. The order book covers more than 60% of this year’s forecast revenues. The dividend is maintained at 8.75p a share.

Vianet (VIA) coped well with the decline in revenues in the year to March 2021 and it has limited its underlying loss to £2.8m. Vianet’s smart zones division had reduced charges to pubs while they were closed and since the relaxation of lockdown conditions these charges have been raised. New contracts are being won by the smart machines vending technology division. This means that revenues could bounce back from £8.4m to £14.8m this year, which could be enough to move Vianet back into profit.

Another earnings upgrade for K3 Capital (K3C) following its pre-close trading. The 2020-21 pre-tax profit forecast was increased from £12.9m to £13.9m and next year’s forecast has been raised from £13.5m to £14.6m. There is £14m in the bank.

ReNeuron (RENE) had to halt its trial for the lead human retinal progenitor cell (hRPC) project because one patient got an eye infection. It means that trail data could be delayed by three months. The cash should still last until after March 2022.

Kidney diagnostics firm Renalytix AI (RENX) generated revenues of $600,000 in the three months to March 2021. N+1 Singer forecasts revenues of $3.4m for the year to June 2021.

Local government and engineering documentation software provider IDOX (IDOX) reported interims in line with expectations and it remains on course to improve full year pre-tax profit from £10.5m to £12m. IDOX has sold its non-core operations and it is in a good position to acquire businesses in its core markets.

Dekel Agri-Vision (DKL) has purchased 1,500 tonnes of raw cashew nuts ahead of the completion of the cashew plant in Tiebissou. There will be further news about the plant in the next few weeks. Higher crude palm oil prices combined with good crops mean that Dekel remains on course for profitability this year.

MAIN MARKET

CML Microsystems (CML) reported a 17% decline in continuing revenues to £12.5m. The sale of the storage division enables CML to concentrate on its wireless communications technology. The addressable market is being expanded through the launch of SuRF products for microwave /mmWave applications. These products are currently being designed-in to the equipment made by customers. That means it will take time for revenues to build up. Net cash is £32.2m. The total dividend is 52p a share, reflecting the return to shareholders of part of the proceeds from the sale of the storage division.

Telecoms services provider Toople (TOOP) improved its interim gross profit by two-fifths to £470,000, even though revenues declined. Cash continues to flow out of the business and there is still some way to go towards breaking even. Additional sales staff are being taken on. There was nearly £1m in the bank at the end of March 2021. The £1.62m of loan notes and interest are not repayable until the end of 2022. Management is confident that it will have the backing of its investors if it secures a suitable acquisition.

Challenger Acquisitions (CHAL) has secured a new agreement for the acquisition of renewable energy company Cindrigo Energy. Cindrigo is undertaking an open offer to shareholders to raise up to £2.1m and these shares would not have been covered by the original agreement.

NMCN (NMCN) is in talks concerning a refinancing. There is a strain on working capital with two loss making water contracts and other problems. There will be a full year loss.

Triad Group (TRD) moved back into profit last year, thanks to the focus on higher margin consultancy work, and cash in the bank increased to £4.9m. The IT services provider is paying a 2p a share dividend.

HeiQ (HEIQ) has acquired Hong Kong-based Life Material Technologies for an initial $6.45m. This will enhance the antimicrobial technology part of the business. The acquired company’s additives are used in plastics, coatings, ceramics and textiles.

AQUIS STOCK EXCHANGE

United Win Asia has invested £3.15m in Samarkand (SMK) at 115p a share, which is the same as the original placing price but well below the market price. United Win Asia is part of a logistics group and this fits well with Samarkand’s ecommerce platform.

Clarify Pharma plans to raise £5m at 3p a share, which would value the life sciences company at £10.5m. The focus is psychedelic-based substances that can be used to treat PTSD, Alzheimer’s and depression. Investments will be identified in the UK and Canada. The board is dominated by the same team, including Michael Edwards, that floated decentralised finance (DeFi) focused investment company Dispersion Holdings (DEFI) and NFT Investments (NFT), which is investing in a portfolio of non-fungible tokens (NFTs).

Michael Edwards is also chairman of Pioneer Media Inc. This is a company that has floated on the Canadian Stock Exchange and plans to gain a quote on Aquis. Pioneer is seeking investments in eSports and mobile gaming. The expected admission date is 25 May.

Pharma C Investments is an early-stage investor in the medical cannabis sector. The focus will be on markets that already have legislation and regulations. The plan is to raise £1m and the expected admission date is 26 May.

Greencare Capital (GRE) has appointed Richard Tonthat as chief executive. The cannabis-focused investment company recently made its first two investments after its original acquisition fell through. Richard Tonthat has worked at Grant Thornton and British American Tobacco, when it made a large cannabis acquisition in Canada.

ASX-listed Pacific Nickel has completed the acquisition of 80% of Kolosori Nickel and Gunsynd (GUN) has received 682,790 Pacific Nickel shares at 8 cents each for its stake. The current Pacific Nickel shareholding is 1.95 million shares. There will be deferred consideration if a mining lease is granted, and the mineral resource is confirmed. Gunsynd could receive a further 1.14 million shares if this is achieved.

Eight Capital Partners (ECP) is acquiring corporate finance adviser Innovative Finance Srl for an initial €2.45m with a further €2.45m payable depending on performance over three years. Eight Capital Partners previously had an option to acquire a 60% stake. Concreta Srl will own 9.9% of Eight Capital Partners and chairman Dominic White will own 29.9% – he is also loaning the company €1.1m.

Cadence Minerals (KDNC) says that a second batch of iron ore has been shipped from stockpiles at the Amapa project in Brazil. The cash will be used to pay creditors, including ex-employees. The remaining creditors need to be paid before Cadence acquires a 20% stake in Amapa. A further investment of $3.5m would take the stake to 27%.

R Oldfield has been buying shares in Shepherd Neame (SHEP). He bought 6,356 shares at 1032p each, a further 2,500 shares at 1038p each and 16,144 shares at 1035p each.

Vulcan Industries (VULC) has raised £70,000 at 1.5p a share. Vulcan subsidiary Orca Doors is gaining orders, which cover six months of capacity. Ananda Investments (ANA) has raised £15,000 from the exercising of warrants at 0.45p a share.

EPE Special Opportunities Ltd (ESO) had a NAV of 495.69p a share at the end of April 2021.

AIM

Motor dealer Vertu Motors (VTU) performed     In the year to February 2021, revenues fell from £3.1bn to £2.5bn, while underlying pre-tax profit improved from £23m to £24.6m. Net cash, excluding leases and vehicle stocking loans, was £1.4m at the end of February 2021. The net tangible asset value is 50.2p a share. At the beginning of May, CIP Merchant Capital (CIP) bought 1.55 million Vertu Motors shares at just over 40.3p each.

Business restructuring company Begbies Traynor (LSE: BEG) has acquired Midlands-based MAF Property, which is a finance broker. The deal could cost up to £11.75m, with £3m in cash and shares upfront and the rest depending on profit growth. The pre-tax profit forecast for the year to April 2022 has been raised from £16.5m to £17m.

Nightcap (NGHT) has raised £10m at 23p a share and strong demand meant that existing shareholders Raymond Blanc and David Moore sold part of their stakes. The original plan was to raise £4m.

e-Therapeutics (ETX) has raised £22.5m, including £920,000 via Primary Bid, at 24p a share. The cash will be used to expand the company’s drug discovery and development operations. There are plans to complete a first in human clinical study for one RNAi asset and advance two or three other RNAi therapeutic programmes through preclinical development.

Great Western Mining (GWMO) has completed an initial six-hole drilling programme at the Trafalgar Hill project in Nevada. All six holes intercepted intercepted the main shallow structure. In the next few weeks there will be further drilling and more analysis and news about these drilling results.

Gaming Realms (GMR) has extended its SLINGO agreement with Scientific Games. The four-year licensing deal includes the opportunity to launch SLINGO digital lottery games.

Trellus Health has the rights to technology that can be used to manage irritable bowel syndrome. It can reduce unplanned hospital visits by 85%. The US-based company expects to join AIM on 28 May.

STM (STM) has sold its Jersey trust and company services business for net cash of at least £1.4m. That reduces the 2021 profit forecast by £100,000 to £2.5m.

Dekel Agri-Vision (DKL) says April crude palm oil production was lower against strong comparatives, but that was offset by higher prices. Arden still expects a move into profit this year – €600,000 is forecast.

MAIN MARKET

Medica Group (MGP) reported a one-fifth reduction in full year revenues to £36.8m. The lack of elective surgery meant that demand for teleradiology services was reduced. However, demand for emergency services slightly increased. There was an initial contribution from the Irish business bought last year. The 2020 underlying pre-tax profit fell from £11m to £4.74m. The US business was acquired this year and an Australian joint venture has been launched.

LED lighting and wiring accessories supplier Luceco (LUCE) expects interim operating profit to double to £18m. Operating margins are being maintained even though costs of some components are increasing. Net debt should remain at around £18.3m.

Haysmacintyre and a partner have been reprimanded and fined for its audit of the Associated British Engineering (ASBE) accounts for 2017-18. This was not undertaken in the appropriate manner.

Cizzle Biotechnology (CIZ) has reversed into standard list shell Bould Opportunities. Cizzle is is developing a test that could make diagnosing lung cancer more accurate by preventing false positives. A placing raised £2.2m at 10p a share. Pro forma cash is £1.89m, which is slightly higher than the NAV. The cash will be used to make progress towards gaining CE marking for the biomarker test.

Virgata Services is making a 50p a share cash offer for Walls & Futures REIT (WAFR) and that is a 52% discount to net assets at the end of September 2020. It is a premium to the market price prior to the announcement, but management recommends shareholders take no action. The bid values Walls & Futures REIT at £1.9m. Six shareholders own more than 80% of the company. Roy Nominees holds 33.2% and Standard Life Trustee Co Ltd holds 22.9%. Virgata is owned by the family office of the Goetstouwers family, and it has a property portfolio worth €80m, plus stakes in developments in the Netherlands. All the interests are outside of the UK.

Love Hemp (LIFE) plans to move to the Main Market later this year and has raised £5m at 3.5p a share. The cash will finance a global market campaign for its CBD and hemp products.

Sativa Wellness Inc (SWEL) has raised C$3.6m from the first tranche of its private placement. Sativa is offering two and eight day quarantine tests for travellers returning to the UK.

Good Energy (GOOD) is appointing Nigel Pocklington as chief executive. He is the former chief commercial director at Moneysupermarket.com. He starts on 1 May. Good Energy is making a further £1m investment, via a convertible, in electric vehicle mapping services provider Zap-Map’s parent company Next Green Car. Good Energy already owns 50.1% of Next Green Car. Zap-Map covers more than 95% of the UK public electric vehicle charging points.

KR1 (KR1) has invested a further $150,000 in Moonbeam Network for 30,000 GLMR tokens, taking the total owned to 130,000 tokens.

On 6 April, Coinsilium (COIN) $3.13m of cryptocurrency and tokens, up from $1.98m two months earlier.

Gunsynd (GUN) says that investee company Low 6 is on course to float in the second quarter of 2021. The B2B pool betting firm has 122,000 users.

Clean Invest Africa (CIA) has signed a memorandum of understanding Exagogi for the development of opportunities in India for CoalTech. India has high stockpiles of coal fines waste, which CoalTech can clean-up.

A general meeting has been requisitioned by shareholders at Early Equity (EEQP).

Evrensel Capital Partners has not subscribed the £250,000 for shares in Truspine Technologies (TSP) that it promised last September. TruSpine has raised £35,000 at 10p a share, taking the total raised in the latest fundraising to £620,500.

Tectonic Gold (TTAU) has raised £634,000 following the exercise of warrants at 0.7p each. Tectonic has raised A$215,000 from selling part of its holding in VOX Royalty Corp.

EPE Special Opportunities (ESO) had a nav of 448.15p a share at the end of March 2021.

Chris Akers has reduced his stake in Quetzal Capital (QTZ) from 17.2% to 12.3%.

Gowin New Energy (GWIN) has appointed Novum Securities as corporate adviser and trading in the shares has recommenced.

AIM

Minds + Machines (LSE: MMX) is selling its business and assets to GoDaddy for $120m (£87m) and this is equivalent to 8.8p a share, after transaction costs. ICANN needs to provide approval for the transfer of the top level domains. The company will become a shell.

Mobile phone and technology recycler and reseller musicMagpie could have an enterprise value of between £180m and £220m when it plans to join AIM later in April. The company buys and resells smartphones, computers, CDs, DVDs, books and other products that might have ended up in landfill. The market for pre-owned technology and media is estimated to be growing at 10% a year. In the year to November 2020, revenues were £153.4m and EBITDA was £13.9m.

Demand remains strong from the rail sector for software and consultancy services from Tracsis (TRCS), although the data and events businesses had a tougher time. Interim profit declined in the first half. finnCap forecasts a recovery in full year pre-tax profit from £8.3m to £9.1m, before a much larger increase in 2021-22 assuming trading is nearer to past levels. The Williams rail review is due to be published and this could provide additional opportunities for Tracsis.

International payment services provider Equals (EQLS) increased business revenues in 2020, but a slump in consumer revenues due to the lack of travel. Total revenues were 4% ahead at £29m and Equals made a small profit. In the first quarter of 2021, revenues were flat at £8m and again this masks business growth, plus the comparatives were strong in this period. Canaccord Genuity has upgraded its 2021 pre-tax profit forecast from £3.8m to £4.2m.

FIH Group (FIH) lost money in the UK last year, but this was more than offset by profits in the Falklands. The art distribution and Portsmouth Ferry operations were hit by Covid-19 lockdowns.

Oil palm plantation operator Dekel Agri-Vision (DKL) produced 71,500MT in the first quarter. Crude palm oil sales were 27% higher at 13,921MT and average realised prices are one-fifth higher. Dekel is on course to make a pre-tax profit in 2021.

Arena Events (ARE) has been successful in its bid for the business and assets of Aztec Schaffer. Arena will pay $3.35m for a 50% stake in a new joint venture owner of the assets and there will be a debt financing package of $18.25m.

MAIN MARKET

Sales of new and used cars by Lookers (LOOK) fell by 10% last year. However, it appears to have gained market share in new cars. Peel Hunt has increased its 2021 pre-tax profit forecast by £11m to £34.8m.

Stranger Holdings (STHP) has signed heads of terms to acquire Technology Minerals, which itself is involved in acquisitions of businesses producing battery raw materials and recycling batteries. These include Recyclus Group, which Stranger has previously considered buying. League of Angels founder Barney Battles has been appointed as a non-executive director.

Caerus Mineral Resources (CMRS) is acquiring PR Ploutonic Resources. This includes the Troulli, Kokkinapetra and St Nicholas copper and gold licences. Caerus is paying £750,000 in shares.

Argo Blockchain (ARB) says March revenues were at a record level of £6.57m. This reflects the installation of additional equipment and a higher bitcoin price.

Tirupati Graphite (TGR) achieved record graphite production in the first quarter of 2021. Work continues on increasing capacity at the Sahamamy project in Madagascar.

Anemoi International (AMOI) has raised £240,000 at 4p per depositary interest.

AQUIS STOCK EXCHANGE

Rogue Baron (SHNJ) joined the Aquis Stock Exchange on Friday. The company is a spirits brand developer, and its focus is the Shinju Japanese whisky brand and specialist tequila Copa Imperial Tequila. The idea is to build these and other niche brands to the point where larger drinks companies will want to acquire the brand. There was £755,000 raised at 7p a share. The share price ended the first day of trading at 8p (7p/9p).

Gunsynd (GUN) has already more than trebled the value of its investment In Rogue Baron, which was worth more than £1.8m, including accrued convertible interest, at the time of flotation. Gunsynd holds a 28.5% stake. Chris Akers has increased his stake in Gunsynd from 5.36% to 6.19%.

Sativa Wellness (SWEL) has taken more than £1.1m of bookings for its Covid-19 testing clinic business. This has been achieved by the Bath clinic and a further clinic has opened, plus 13 in-pharmacy and two mobile clinics. There could be 30 clinics by the end of April, ready for the easing of lockdown.

KR1 (KR1) has invested $200,000 into Automata Network’s seed funding round.

IamFire (FIRE) made a loss of £162,000 in the six months to October 2020. During the period, investments were made in WeShop and Bio2pure.

Upper Thames Holdings (UPPT) has net liabilities of £83,000 at the end of 2020 and since then £516,000 has been raised. The board will seek approval to change the company’s name to Valereum Blockchain.

Quetzal Capital (WENP) is raising £3m at 4p a share and issuing enough warrants exercisable at 8p to raise a further £3m. This will help to fund a reverse takeover or investment. NQ Minerals (NQMI) has raised a further £255,000 at 7p a share. Bluebell Investment and Consulting has invested £25,000 in Wheelsure Holdings (WHLP) at 13.5p a share, which represents a 4.9% stake. Altona Rare Earths (ANR) has raised a total of £800,000 at 6.5p a share from placings.

Western Selection (WESP) has increased its stake in Bilby (BILB) by 698,737 shares at an average share price of 35.11p each. This takes the stake to 12.2%.

All Star Minerals (ASMO) has appointed SP Angel as broker.

AIM

AMTE Power (AMTE) raised more than initially expected in the flotation and this should provide the cash required for investment in the battery cells development business. AMTE raised £11.3m at 175p a share. The share price jumped to 233.5p on the first day of dealings. The battery cells nearing commercialisation are aimed at the high-performance vehicles, oil and gas equipment and energy storage markets. There are currently 16 potential clients that products are being developed for.

Engineer Avingtrans (LON: AVG) is raising £35m from the sale of the Peter Brotherhood business that came with the £52.7m acquisition of Hayward Tyler in September 2017. Peter Brotherhood was estimated to be worth £9.3m of that cost. Borrowings will be paid off. Net cash is expected to be £22m at the end of May 2021.

Kape Technologies (KAPE) is acquiring Webselenese for $149.1m. This provides the group with a consumer platform for privacy and security content, which will generate information and data on consumer trends. In 2020, the acquired business generated revenues of $64.5m and EBITDA of $30.7m. In 2021, Kape is expected to increase earnings from 15.8p a share to 25.4p a share.

Billing and customer relationship management software provider Cerillion (CER) has won a Middle East contract worth £5m over five years. The implementation will take up to 18 months.

Getech (GTC) is raising up to £6.25m via a placing and open offer at 22p a share. The cash will be invested in developing hydrogen products and services.

Online merchandising technology provider Attraqt (ATQT) improved its full year revenues by 8% to £21m, helped by an initial contribution from AI firm Aleph. The loss was reduced from £4.4m to £2.6m. Annualised recurring revenues were £21.1m at the end of 2020. A £500,000 loss is forecast for 2021 before a move into profit in 2022.

Cloud-based PCI payment services provider PCI Pal (PCIP) is gaining momentum in the US. In the six months to December 2020, revenues rose by 56% to £3.2m. More of these revenues are coming via channel partners. Total annual contract revenues were 59% ahead at £8.3m. There should be enough cash in the bank to get the company to the point where it is generating cash.

Shoe Zone (SHOE) says that it does not expect to pay a dividend until at least 2025. The footwear retailer expects to continue to lose money this year. The stores are closed at the moment.ch

Online women’s fashion retailer Sosandar (SOS) has agreed to sell a specialist collection of its products through Marks and Spencer (MKS). This follows deals with Next and John Lewis.

Coral Products (CRU) is repaying its £1.6m property mortgage out of the proceeds of its recent disposal. The £2.5m valuation of the Haydock site is expected to be increased in the next accounts. Coral has also repaid £500,000 of its CBIL loan with the other £433,333 likely to be paid before the year-end.

Business restructuring company Begbies Traynor (BEG) is acquiring of David Rubin & Partners for up to £25m. This takes the group’s market share to 12%. There is an initial £12m payable and the rest depends on performance over five years. Begbies raised £22m at 105.5p a share to help finance the deal, which should be immediately earnings enhancing.

Arden has upgraded its Dekel Agri-Vision (DKL) forecasts due to higher crude palm oil and palm kernel oil prices. This means that Arden expects Dekel to be profitable in 2021.

MAIN MARKET

Avation (AVAP) is raising £7.5m at 110p a share and this provides additional cash at a difficult time for the airline industry. NAV was previously 174p a share. Avation could continue to lose money for the next two years Net debt will still be more than $1bn.

Challenger Acquisitions (CHAL) is entering into a deal to acquire Cindrigo Energy, which owns Cindrigo Ltd, the company where a previous offer lapsed. The business is a developer of renewable energy projects using Swedish expertise in waste-to-energy and biomass. The shareholders of the target company will own 96.5% of the enlarged business.

Kanabo (KNB) has signed a production and supply agreement with PharmaCann Polska for cartridges containing Kanabo’s medicinal cannabis formulations. The initial production capacity is up to 36,000 cartridges. FastForward Innovations (FFWD) has sold its stake in Kanabo for a profit of £140,000. FastForward has also sold its Cellular Goods (CBX) for a £54,000 gain.

Argo Blockchain (ARB) has raised £26.8m at 200p a share and this cash will fund the purchase of a further stake in Pluto Digital Assets. The £7.3m investment in Pluto will maintain the Argo stake at 25%. AIM-quoted Pires Investments (PIRI) owns 6.4% of Pluto.

The Financial Reporting Council has started an investigation into the audit of motor dealer Lookers (LOOK) by Deloitte for 2017 and 2018.

Wheaton Precious Metals (WPM) is increasing its first quarterly dividend by 30% to 13 cents a share. The strategy is to pay 30% of average cash generated by operating activities in the previous four quarters.

Pharmaceuticals developer Nuformix (NFX) is raising £1.565m at 2p a share. This cash will finance preclinical studies for the NXP002 inhaled formulation for lung disease and further research and development of formulations. Nuformix is waiting to see whether Oxilio will option the NXP001 cancer treatment. This option expires on 24 March.

Property investment company Ace Liberty and Stone (ALSP) more than doubled its interim profit. In the six months to October 2020, rental income was 7% lower at £3.22m, while pre-tax profit was 121% higher at £674,000. The profit improvement was due to lower interest charges, offset by a £200,000 write down on assets held for sale. Rent collections have exceeded 80% each quarter. There were £131,000 of rent concessions written off in the period. NAV is £32.2m. Net debt was £49.6m at the end of October 2020. Loan to value is 53%. There is no interim dividend.

Sativa Wellness (SWEL) plans to achieve UK FSA Novel Foods accreditation by the end of March. This will enable the company to sell CBD products under the Goodbody brand and white labels. An online store will be launched. It will also be completing the integration and simplification of the businesses. Management believes the company can become cash generative from operating businesses this year. Chief executive Henry Lees-Buckley has stepped down from the holding company board.

NQ Minerals (NQMI) has resumed exploration at the Beaconsfield mine, which has 483,000 ounces of JORC compliant mineral resources.

Gunsynd (GUN) increased its stake in Rincon Resources to 17.3%. The company’s employee benefit trust is subscribing for 15 million shares at par and that will raise £12,750. That equates to a 3.7% stake.

World High Life (LIFE) raised £566,000 at 1p a share. First quarter revenues of Love Hemp were 13% ahead of the previous quarter.

Altona Energy (ANR) raised £523,000 at 6.5p a share, although £355,000 is still to be received. The cash will enable the company to complete due diligence on two rare earths mining projects in Africa and a move to the standard list. Two more possible acquisitions of rare earths assets are being negotiated.

Early Equity (EEQP) raised £243,000 at 0.5p a share.

Eastinco Mining and Exploration (EM.P) executive chairman has acquired 650,000 shares at 2.0308p each, which takes his stake to 6%. Arbuthnot Banking (ARBB) chairman and chief executive Sir Henry Angest bought 3,161 non-voting shares in the financial services provider. He owns 56.1% of the voting shares and 64.9% of the non-voting shares.

AIM

Insolvency-related litigation firm Manolete Partners (MANO) has warned that the pipeline of new cases has slowed because of the government’s Covid-19 support for businesses. Case enquiries have fallen sharply, and this is expected to remain the case until the end of March at least. Manolete has already completed twice as many cases as in the year to March 2020. Gross cash collected from cases was £9.3m up until the end of December and the company’s share is £4.8m compared with cash overheads of £3.2m.  Full year realised profit will be higher than expected but the increase in unrealised gains will not be as much as anticipated. There may be a small second half profit. Mithaq Capital took a 16.1% stake on the day of the trading statement. Three non-executives bought shares.

Ideagen (IDEA) increased its annual recurring revenues to £54.8m at the end of October 2020 with organic growth of 7%. The document management and compliance software supplier says that 83% of its revenues are recurring. It is on course to improve full year pre-tax profit from £14.3m to £17.2m.

Dekel Agri-Vision (DKL) has completed a £3.5m fundraising at 5p a share. Dekel plans to spend £1.1m in cash and shares acquiring a further 16.7% of the raw cashew nut processing project in Tiebissou, Cote d’Ivoire. That will take the stake to 70.7%. The rest of the cash will fund the ongoing business.

Cloud-based PCI-compliant payment services provider PCI-Pal (PCIP) increased interim revenues by 56% to £3.2m. Total annual contract value has risen to £8.3m. Net cash was £2.1m at the end of 2020.

Beximco Pharma (BXP) increased interim revenues from £112.6m to £125.8m. Export sales were flat. Pre-tax profit increased from £15.5m to £19.4m. Beximco has received the first consignment of five million doses of the Oxford/ AstraZeneca Covid-19 vaccine.

CIP Merchant Capital (CIP) has rejected a potential 50p a share cash bid by Corporation Financière Européenne S.A. That compares with the last quoted NAV of 78.05p a share.

MAIN MARKET

Publisher Bloomsbury Publishing (BMY) continued to trade strongly with revenues ahead of expectations. Investec has upgraded forecast 2020-21 revenues by 4% and earnings per share by 19% to 14.1p a share, which is still down on last year. There should be net cash of £50m by the end of February 2021.

IT firm Triad Group (TRD) says that results in the second half will be well ahead of the same period last year.

Associated British Engineering (ASBE) has still not published its accounts for the year to September 2020. Management is considering opportunities that will help to get the share trading suspension lifted.

AQUIS STOCK EXCHANGE

British Honey (BHC) generated revenues of £1.5m in the nine months to December 2020 with more sales online. There was £2.4m in the bank.

Rutherford Health (RUTH) has agreed to provide cancer treatment to NHS Trusts and clinical commissioning groups in England. The initial agreement is for two years.

A subsidiary of Noble Group has sent a letter of intent to Eastinco Mining and Exploration (EM.P) saying it wasn’t to purchase a significant portion of tantalum and tine production from Musasa in Rwanda. There will be immediate payment on agreement of the grade. There has been a further cash injection of £150,000.

Tectonic Gold (TTAU) has discovered further gold mineralisation at Specimen Hill in Queensland. There is a 100% success rate with holes drilled. A drilling programme has started at Mt Cassidy and once completed drilling will recommence at Specimen Hill at the sites that are prospective for copper.

NQ Minerals (NQMI) says that the Hellyer mine in Australia produced 38,319 tonnes of lead concentrate, up 53%, and 19,019 tonnes of zinc concentrate, up 22%, in 2020. There was 5,452 ounces of gold and 1.1 million ounces of silver produced. Gross revenues were A$63.3m and net income was A$22.7m.

Preliminary sampling at one of the Cameroon licences owned by BWA Group (BWAP) has identified mineralisation. The Dehane project has elevated titanium, zircon and aluminium multi-element associations. More cash is required to fund further exploration.

Gunsynd (GUN) says that Peterhouse has been appointed as corporate adviser to Rogue Baron ahead of a proposed flotation on Aquis in the first quarter. Rogue Baron is a spirits company and Gunsynd has a £500,000 convertible repayable at the end of March. The Gunsynd NAV increased from £2.36m to £2.47m at the end of July 2020. There was £838,000 in the bank.

Vulcan Industries (VULC) has raised £100,000 at 4.5p a share. SulNOx Group (SNOX) has raised £50,100 at 41.75p a share. Further cash will be required. Altona Energy (ANR) has raised a further £42,000 at 6.5p a share. MiLOC Group (ML.P) has raised £237,000 at 28.5p a share and started litigation against a distributor.

Walls and Futures REIT (WAFR) boos Joe McTaggart has bought 30,409 shares at 49p each.

AIM

Toilet tissue manufacturer Accrol (ACRL) reported strong interims even before a contribution from the recently acquired LTC. In the six months to October 2020, revenues slipped from £64.5m to £62.3m but that reflects panic buying in the last two months of the previous year that reduced this year’s figure. A contribution from LTC should increase full year revenues from £135m to £154m and pre-tax profit could nearly double to £9.2m. Accrol intends to pay a final dividend of 0.5p a share.

Online fashion retailer Sosandar (SOS) reported a 6% increase in revenues to December 2020, following a £1.6m reduction in marketing spend – mainly in December. This includes growing sales via John Lewis and Next. The loss was more than halved. Net cash was £3.9m at the end of 2020.

Kromek (KMK) reported a 14% decline in interim revenues to £4.58m, which was a resilient performance considering the disruption in the period. Kromek has moved into a net debt position but management is confident that it has enough funds for its requirements. The second half should be stronger. The long-term outlook for MRI, imaging and radiation detection products remains positive.

Battery technology developer Ilika (IKA) is on course for Stereax battery production to be scaled up by the beginning of 2022 and more significant revenues will flow through from then on. The total investment is £4m. The pilot line is running at full capacity so there is unlikely to be growth in short-term revenues. There is also the longer-term potential for Goliath batteries for electric vehicles. There should be £9m in the bank at the end of April 2021.

Voucher products supplier Appreciate (APP) had a strong third quarter and free cash reached £33.5m. The focus on digital products is paying off.

Law firm Gateley (GTLY) grew earnings by 7% in the first half, but full year earnings are expected to decline from 12.5p a share to 9.1p a share. There could be scope for an upgrade if utilisation levels remain high.

Ariana Resources (AAU) says that the 50%-owned Kiziltepe mine produced 18,645 ounces of gold in 2020. The processing plant capacity is being quadrupled.

Filtronic (FTC) has won a contract with more than £1m with a UK defence customer. Filtronic will design and supply battlefield communications hardware.

In 2020, Dekel Agri-Vision (DKL) increased palm oil production by 24% to 4,824MT and the average price obtained was ahead by a similar percentage. The price has started 2021 at a much higher level and even if the price does not stay as high Dekel should be able to at least move nearer to profit in 2021.

Franchise Brands (FRAN) will report 2020 figures ahead of consensus. The business has been strongly cash generative and the consumer-facing franchises did better in the second half. Metro Rod was classed as an essential service and trading recovered after an initial slump. Allenby forecasts 2020 earnings of 4.3p a share and this could improve to 4.8p a share in 2021.

Environmental and life sciences company Deepverge (DVRG) generated revenues of £4.4m in 2020 before any contribution from the recently acquired Modern Water. This year’s revenues should more than double, although the business should still lose money. There are large projects that are being bid for that could contribute to this year.

SourceBio International (SBI) has signed a deal with a high street retailer to provide lab testing services. This will start with a limited number of stores and could then be broadened. Demand for Covid testing is likely to continue to be high for many months.

MAIN MARKET

BATM Advanced Communication (BVC) has secured an option deal to sell its NGSoft communications technology services business to Aztek Technologies for $33m in cash. This is around ten times operating profit. The cash can be reinvested into the other activities.

Telecoms business Toople (TOOP) increased revenues from £2.45m to £3.44m and gross profit from £479,000 to £1.1m in the year to September 2020. The purchase of DMSL helped to grow revenues. Admin expenses were slightly higher at £2.44m. The underlying pre-tax loss edged up from £1.24m to £1.31m. That excludes a £1.1m provision for bad debts and restructuring costs. Directors pay increased from £278,000 to £312,239 last year. Net debt was nearly £1m at the end of September 2020. Debt in the form of a loan note is repayable at the end of 2022. The cash outflow from operating activities reduced from £2m to £1.6m.

InnovaDerma (IDP) reported a one-fifth decline in interim revenues. The personal care products supplier was hit by the closure of high street shops in the UK. International sales improved. The new chief executive is still assessing the business and will report plans and impairment charges in the coming weeks. A non-executive director is loaning the company £500,000 until 13 July.

AQUIS STOCK EXCHANGE

Daniel Thwaites (THW) had a strong eleven months in the year to March 2020, but the final month was unsurprisingly poor for the brewer and pubs operator. Full year revenues edged up from £96.9m to £98.1m, while pre-tax profit fell from £4.5m to £3.6m. Net debt was reduced from £69.7m to £65.4m, helped by property disposals. No dividends are planned in the near future.

EPE Special Opportunities (ESO) has taken advantage of the strong Luceco (LUCE) share price and sold four million shares for total proceeds of £10m. EPE still owns a 24.9% stake.

KR1 (KR1) has participated in token generation by four platforms. There was a follow-on participation in a Plasm Network distribution event, while KR1 has also received tokens from ChainX, Edgeware and Phala Network. The Phala Network tokens have been sold for nearly $124,000.

BWA (BWAP) has given St George’s Eco-Mining Corp until 27 November to repurchase the company’s investment in Kings of the North Corp.

Tectonic Gold (TTAU) says that the first hole drilled at the Specimen Hill prospect in Queensland has signs of gold bearing mineralisation. A second hole is underway.

Evrima (EVA) and partner Power Metal Resources (POW) have published a drilling update for the Molopo Farms complex in Botswana. The first hole has been completed at the nickel sulphide and platinum project. This confirmed that it is a feeder zone. Samples will be tested. There is a four-hole drilling programme.

Cadence Minerals (KDNC) owns 30% of mining and exploration leases that form part of the Yangibana rare earth deposit. Drilling has confirmed that recent drilling results show an economic mineralised corridor 8km long.

Gledhow Investments (GDH) has taken a 4.82% stake in IamFire (FIRE).

NQ Minerals (NQMI) has raised £835,000 at 5.5p a share, which is below the 7p a share that a UK institutional investor paid last month. Early Equity (EEQP) raised £105,000 at 0.5p a share.

AIM

Trackwise Designs (TWD) is raising a further £11m at 200p in order to finance a new Improved Harness Technology (IHT) manufacturing site to quadruple capacity. That is a large discount to the market price of 320p. A further £1m could be raised via an open offer. Back in March, there was a £5.87m fundraising at 80p a share.  That was at the time of the purchase of Stevenage Circuits for up to £2.457m. The rest of that cash was earmarked for capacity expansion. The subsequent orders received by Trackwise mean that further investment in capacity is required. The funding dilutes short-term earnings per share.

Agricultural supplies group Wynnstay (WYN) had a strong end to its financial year, particularly September and October. Feed sales were better than expected. There will be one-off costs for closing three sites. Shore Capital has upgraded its underlying pre-tax profit forecast from £6.7m to £8.1m. The dividend is likely to be maintained at 14p a share.

Immunodiagnostic Systems Holdings (IDH) has broken its record and published interim figures at 6.22pm on Friday. Revenues fell by 27% and the company made a bigger loss.

Staffline (STAF) is selling its apprenticeships business to Babington Business College for a nominal fee. The business was losing money in the first half of 2020, although it was a lower loss than the year before. Staffline will concentrate on recruitment and adult skills training.

Bion (BION) is establishing a biogas consortium with three other companies in Malaysia. The plan is to formalise the partnership so that a special purpose vehicle that would be 55%-owned by Bion will own and operate biogas assets of Bion and Green Lagoon Technology. The new venture would be the largest owner of biogas plants in Malaysia. Shareholders will have to approve the deal if it goes ahead. Bion will work with the other two companies to develop waste-to-energy projects.

Trading is ahead of expectations at Somero Enterprises (SOM) and this should enable a significant supplementary dividend for 2020. The concrete levelling equipment supplier is expected to end the year with net cash of $26m.

Dekel Agri-Vision (DKL) has completed the acquisition of the stake in the Cote d’Ivoire cashew nut processing project that takes its shareholding to 52%. October palm oil production was 1,818 metric tonnes and 1,843 metric tonnes was sold. The average price improved to €636/tonne.

Mirada (MIRA) has integrated Disney+ into its Iris platform for Televisa’s izzi pay TV platform in Mexico.

Invinity Energy Systems (IES) has gained a contract to deliver a 0.5MWh vanadium flow battery system to a site in California. This should generate £480,000in 2021. There is also an order for two smaller battery modules.

Three potential bidders are assessing offers for Telit Communications (TCM) and the latest is u-blox, which is considering an all-share offer worth 250p a share. DBAY Advisors and Lantronix are the other potential bidders.

MAIN MARKET

Packaging supplier Macfarlane (MACF) says that trading in the four months to October 2020 is ahead of the same period in 2019. Full year pre-tax profit is expected to be similar to last year at around £14m. It was previously expected to be more than 10% lower. Arden forecasts a total 2020 dividend of 2.4p a share.

Emmerson (EML) has completed the Environmental and Social Impact Assessment for the Khemisset potash project in northern Morocco.

Petra Diamonds (PDL) has an agreement in principle for a restructuring that involves the raising of money from a loan note issue and the remainder of the loan notes will be converted into shares equivalent to 91% of the enlarged share capital.

Thalassa (THAL) has invested £300,000 in foreign exchange and international payments firm Cornerstone FS for a 3.65% stake. This follows a £3m investment in 8% convertible loan notes in payment systems company Tappit Technologies.
