AQUIS STOCK EXCHANGE

Renewable energy supplier Good Energy (GOOD) improved interim revenues by 6% to £67.5m. Gross margins declined as Good Energy focused on business customers. There was a slump from profit to loss, partly down to expected credit losses. There is no interim dividend, but payments should resume next year.

Newbury Racecourse (NYR) reported a two-thirds slump in interim revenues to £2.43m. This meant that the loss jumped from £363,000 to £1.69m. There were six race days in the period. Catering, events and the hotel all fell into loss, although the Rocking Horse nursery made a reduced profit. Nine race days are planned for the second half. There will be a substantial loss for 2020.  

S-Ventures (SVEN) raised £650,400 at 2.67p a share prior to flotation on 16 September. There have been no trades and the share price ended the week at 3p/5p.

Trading has resumed in Lombard Capital (LCAP) following the completion of disciplinary proceedings. A fine of £23,800 has been imposed on Lombard for the failure to provide timely information and a resulting sharp movement in the share price. Lombard also failed to notify changes in significant shareholdings.

Western Selection (WESP) says that its NAV has fallen by 29.7% to 45p a share over the 12 months to June 2020. The decline in the share prices of AIM-quoted investments is behind the decline. The lack of a dividend from Bilby (BILB) meant that income more than halved.

NQ Minerals (NQMI) has raised £275,000 at 7p a share. TruSpine Technologies (TSP) says that Evrensel Capital Partners is being given an extension for its subscription of £250,000 at 36p a share. Evrensel has until 11 November to complete the subscription and it has been taken on as an adviser by TruSpine.  

Panmure Gordon has been approved as a corporate adviser for the Aquis Stock Exchange.

AIM

ThinkSmart (LON: TSL) has revalued its remaining 10% stake in buy now, pay later finance provider Clearpay. The Clearpay stake was valued at £53.7m at the end of June 2020. That is based on the Afterpay share price, which has risen since. Following the settlement of litigation with Dixons Carphone, which led to a payment of £1.45m after June, ThinkSmart has around £10m in the bank and generating cash.

Hanover Bidco has launched a 40p a share recommended bid for ClearStar (CLSU) and this values the employee checks company at £14.7m. ClearStar floated at 57p a share back in July 2014.

Parcel and freight delivery company DX (DX.) increased full year revenues by 2% to £329m and there was a move from loss to a pre-tax profit of £1.8m. The freight division loss was reduced. Net cash was £12.3m, although it is helped by delayed tax payments. The parcels market is growing, and DX continues to invest in new depots.

Keystone Law (KEYS) has resumed dividends following the interims. Revenues grew but the rate of growth slowed. Lawyer recruitment continues and Panmure Gordon has upgraded its 2020-21 earnings from 7.1p a share to 11.9p a share.

Billing and customer relationship management software provider Cerillion (CER) has gained its largest ever contract. This £11.2m contract underpins next year’s figures.

There was a small decline in interim revenues at freight management services provider Xpediator (XPD) and there are further cost saving benefits in the second half. Freight forwarding made a higher profit, although overall operating profit was flat. A 0.45p a share dividend was declared. NAV is 19.9p a share.

Filta Group Holdings (FLTA) has been hit by closures and weak trading in the catering sector. The commercial kitchen services franchise group says trading is recovering, but it is still down on previous levels. Revenues should be more than two-thirds of normal levels by the end of 2020.

Online security software provider Kape Technologies (KAPE) doubled revenues in the first half of 2020. Organic growth was 12% as more people working from home led to demand for Kape’s software products. There are still cost savings to come from the Private internet Access acquisition. Full year earnings per share are expected to increase from 6.5p to 13.3p.

Cloud-based payment services provider PCI Pal (PCIP) reported slightly higher than expected full year revenues of £4.4m, up from £2.8m the previous year. Total annual contract value is running at £6.7m and this underpins the current forecast for this year. PCI Pal will continue to lose money but the cash outflow will reduce.

Union Jack Oil (UJO) is raising £7m at 0.16p a share to cover the oil and gas company’s share of investment in the Wressle field and fund other work programmes and drilling.

Trading in Phimedix (PHM) shares has been suspended because the shell has not found a suitable acquisition. Prior to suspension, Steven Myers sold his 7.7% stake and Ali Mortazavi further reduced his stake from 8.15% to 7.7%.

MAIN MARKET

Tex Holdings (TXH) has decided to delist from the Main Market by 13 October. Trading has been suspended since 29 April 2019. Funding is required and the board believes it will be difficult to secure the cash as a listed company because of the requirement for a prospectus for a major share issue. Costs will also be reduced.

IMC Exploration (IMC) intends to accelerate its exploration programme at the North Wexford gold project. The drilling will be JORC compliant.

Papillon (PPHP) says due diligence on its potential mining acquisitions has been completed. Kilmapesa has recommenced gold production.

Castillo Copper Ltd (CCZ) says that it has verified high-grade copper and identified gold mineralisation at the Big One deposit, on the Mt Oxide project. There are plans to commence drilling.

In the year to February 2020, Rutherford Health (RUTH) nearly quadrupled its revenues from £1.47m to £5.61m, although the loss increased from £21.5m to £29.3m. There were three proton beam cancer treatment centres open at the end of the period, but two were not operating for long. They have continued to operate throughout the Covid-19 lockdown period. A fourth is opening in Liverpool later this month. Net cash was £8.6m at the end of February 2020. There is £43.7m of contracted capital expenditure. Negotiations with the NHS should lead to Rutherford helping to deal with the backlog of cancer patients. Management is in contact with the manager of the Woodford stake.

Arbuthnot Banking (ARBB) made a small pre-tax profit in the first half of 2020 after base rate reductions cost it £2.7m and provisions were increased. NAV was 1248p a share. Customer loans were 27% higher (at £1.62bn) than one year before. The private bank business fell into loss, while the Arbuthnot Latham and commercial bank profit contributions declined.

British Honey Company (BHC) has signed a joint venture with Cottisford Ltd, which is a 29% shareholder. The new JV is called Tusmore Collection and each partner will invest up to £1m (initially £100,000) in order to set up a distillery and bonded warehouse in the grounds of the Tusmore Park Estate in Oxfordshire. That will take 18 months. A new whiskey brand will be developed.

NQ Minerals (NQMI) has negotiated a new $41m bank facility with ING as part of the refinancing of previous debt. The facility will last for six years. This will reduce the interest costs of the Hellyer mine by $2.5m a year.

Hydro Hotel, Eastbourne (HYDP) reported a slump in interim turnover from £1.55m to £1.18m, while the loss more than doubled from £101,000 to £277,000 in the six months to April 2020. This included a period where the hotel was closed. There was £587,000 in the bank. The hotel reopened in early July.

AfriAg Global (AFRI) has yet to complete the acquisition of Apollon UK, which owns a stake in a Jamaican business that cultivates cannabis and has a licence to process it. There was £98,000 in cash at the end of 2019, as well as £1.17m of investments.

IamFire (FIRE) plans to take a 10% stake in Bio2pure, which owns technology to clean lakes and ponds. Richard Griffiths has acquired a 3.21% stake, while Mantis Hldings, Natural Technology Evolution and Max Capital have each taken a 3.57% shareholding. IamFire acquired 10 million shares (4.39%) in Sport Capital (SCG) in a placing that raised £324,000 at 0.3p a share.

Altona Energy (ANR) has launched a pre-funding campaign via NR Private Market (https://lounge.nrprivatemarket.com). The fundraising should happen in the next few weeks. Altona’s new focus is a rare earth metals project in Malawi. Altona believes that raising money in this way will make it easier for private investors to become involved.

Cadence Minerals (KDNC) says that its investee company European Metals Holdings (EMH) plans a Czech listing given the local interest in the Cinovec project. Cadence owns 16% of EMH.

Veni Vidi Vici (VVV) had £339,000 in the bank at the end of June 2020. As part of a joint venture agreement, the company is responsible for the initial spending of A$300,000 on the Shangri La gold copper silver project in Western Australia. Joint venture partner Goldfields will manage the venture and receive a fee of 10% of expenses.

First Sentinel (FSEN) has raised £200,000 by issuing 200,000 Green Finance preference shares.

PCG Entertainment has changed its name to Upper Thames Holdings (UPPT) and trading in the shares has resumed. The consolidation of 100 shares into one new share has been completed.

Coinsilium Group (COIN) is assessing its investment portfolio as part of its strategic review. It wants to sell the portfolio either by selling the subsidiary that owns the stakes or other transactions.

Digital TV technology Mirada (MIRA) increased continuing revenues by 13% to $13m last year and it generated cash. In the year to March 2020, work was carried out on deployments that should yield growing licence and managed services revenues in the future. Capitalised development spending was $4.3m last year and this was partly financed by the cash generated from operations. Net debt was $5.1m. Lockdown has led to increased consumption and take up of services, but it could delay the finalisation of new contracts.

Background check services provider ClearStar (CLSU) says hiring activity levels in the US have soared following an easing of the lockdown. Even so, first half revenues were still lower despite a 74% rise in June, compared with the weak April level, which is back to the level in February. Interim revenues were $8.9m and net debt was $1.4m at the end of June 2020.

Adamas Finance Asia (ADAM) is raising £3.13m at 25p a share via a placing and open offer and each new share comes with a warrant exercisable at 40p a share. The cash will help to finance additional investments by the pan-Asian investment company. The company’s name will be changed to Jade Road Investments Ltd.

Renalytix AI (RENX) is raising $74.3m from an oversubscribed offer and trading has started on Nasdaq. The offer price was 537p a share and $13.50 per ADS. The cash will be spent on the commercialisation of KidneyIntelX.

TV and film subtitling and dubbing services provider Zoo Digital (ZOO) has weathered the short-term problems related to Covid-19 and started the new financial year strongly. Even though newer content creation has been delayed, older programming is being processed. Zoo should get near to breaking even in the year to March 2021.

Omega Diagnostics (ODX) is expected to move into profit this year, but it is difficult to assess sales of the Visitect CD4 (particularly when it gains WHO prequalification) and Covid-19 tests.

MAIN MARKET

Cadmium-free quantum dots developer Nanoco (NANO) has raised £3.4m at 17.5p a share. This will provide cash until the end of 2021. Nanoco has obtained third party funding for its litigation with Samsung. A successful claim could exceed the current market capitalisation of the company.

Interim revenues were 14% lower at LED lighting supplier Luceco (LUCE) although sales started to stabilise by the end of the period. Gross margins have improved, and overheads cut by 15%. Underlying operating profit increased from £7.2m to £9m.

BATM Advanced Communications (BVC) has launched three new diagnostic kits for Covid-19. Sales will commence by the beginning of the fourth quarter.

Daniel Thwaites (THW) closed its pubs and hotels on 20 May and it will not pay a final dividend for 2019-20. Net debt was £65.4m at the end of March 2020 and there are £16.6m of spare bank facilities. Trading had been strong, and the predominance of freehold properties means that rent payments is not as big a concern as it is for some pub operators.

Housebuilder St Mark Homes (SMAP) had a NAV of 127p a share at the end of 2019. The share price is 87.5p. There is cash of £4.8m and the company intends to pay off its bond, which has a 6% coupon. In 2019, pre-tax profit dipped from £117,000 to £114,000.

KR1 (KR1) has raised $353,000 from the sale of RPL tokens, relating to the Rocket Pool, which is developing a proof-of-stake infrastructure service using Ethereum 2.0. The tokens were acquired for $0.21 each and sold at $1.67 each. The majority of the RPL tokens acquired are still held by KR1 even though there was a buyer for all of them. The takeover of digital asset custodian Volt Ltd has generated a further $244,000.

Rutherford Health (RUTH) has signed a framework agreement that will enable it to provide cancer treatment services to NHS trusts. The deal lasts an initial period of two years.

Altona Energy (ANR) has cancelled its open offer because the minimum amount was not raised. Instead, management is in discussions with three companies that could reverse into Altona. Cash will be required to cover the costs of a reverse takeover.

Trading has resumed in Lombard Capital (LCAP) shares. Lombard’s waste and recycling subsidiary is acquiring land in Preston for £1.08m. Lombard needs to issue more bonds in order to fully fund the purchase. Existing bond holders are swapping £507,000 worth into shares at 25p each and £320,000 has been raised from the exercise of warrants at 10p each. The current share price is 27.5p and it is more than five times the level it was two months ago. The site was previously used for recycling and Lombard will reapply for an environmental licence. It will be used for a waste to energy project and a plastic recovering plant.

Coinsilium Group Ltd (COIN) has been appointed as adviser to Kesholabs, a Kenya-based blockchain technology developer. Kesholabs is developing three applications that could be launched within 12 months.

Clean Invest Africa (CIA) says that CASA is set to resume limited operations after the lockdown in South Africa. CASA will produce test work and production of anthracite samples.

Ananda Developments (ANA) subsidiary DJT plants has met with the MHRA to discuss its plans to grow strains of cannabis. This is part of the licence application to grow medicinal cannabis. There will be further consultation with the UK authorities.

World High Life (LIFE) says that subsidiary Love Hemp has increased capacity for its LH Botanicals business.

IWEP is swapping part of its loan to Eight Capital Partners (ECP) into a 29.8% stake at 0.025p a share. Shares have also been issued to creditors to satisfy money owed.

First Sentinel (FSEN) has invested £270,000 in Stabiltech Biopharma as part of a £6m fundraising. The corporate finance subsidiary is advising the investee company on further fundraisings. The vaccine developer is developing a potential vaccine for COVID-19. Clinical trials should start in June.

Secured Property Developments (SPD) is still seeking property investments. There is £514,000 in the bank and net assets of £470,000.

All Star Minerals (ASMO0 has raised £80,000 at 0.02p a share and a further £170,000 is being sought. Ian Harebottle and Richard Lloyd, who both have mining experience, are joining the board.

NQ Minerals (NQMI) has raised £189,500 in placings at 7p a share and 7.5p a share. NQ has raised £340,000 in the past fortnight.

Shareholders have passed the resolution to consolidate 100 existing Wheelsure Holdings (WHLP) shares into one new share.

Sport Capital Group (SCG) has appointed Peterhouse as joint broker.

Engineering businesses consolidator Vulcan Industries is seeking admittance to the Aquis Stock Exchange. The focus is profitable metal fabrication and precision engineering businesses. First Sentinel is corporate adviser. The expected admission date is 1 June.

Renalytix AI (RENX) plans to gain a Nasdaq listing. The renal diagnostics company has not decided how much money it wants to raise. Renalytix AI has launched a joint venture to develop and produce COVID-19 antibody test kits.

STM (STM) subsidiary Carey has won a court case brought by a client. Adams v Carey related to a non-advisory SIPP taken out by Adams and an investment that he asked to be put in the SIPP. The investment performed poorly, and Adams claimed for loss of value. This case has been going on for more than two years.

Employee background checks provider ClearStar (CLSU) has launched a COVID-19 testing service that will help employers with back to work planning. That could attract additional clients for ClearStar’s services.

Imaging services provider IXICO (IXI) increased interim revenues from £3.43m to £4.56m and that helped to more than double profit from £215,000 to £475,000. There was cash of £6.66m at the end of March 2020. The order book is strong. It was £15.3m at the end of the interim period and more has been added since then. Data analysis from existing trials is continuing during the lockdown.

Tiziana Life Science (TILS) intends to demerge its genomics-based personalised medicine businesses into a separate quoted vehicle. This will enable the business to raise cash to develop the StemPrintER technology for the prediction of disease recurrence in breast cancer patients.

Tissue products developer Tissue Regenix (TRX) raised £14.6m at a share price of 0.25p. This was much-needed cash because existing funds were about to run out.

A share placing by Open Orphan (ORPH) at 11p a share raised £12m after expenses. This will help to finance services for COVID-19 vaccines and tests, as well as more laboratory facilities.

Digital TV technology provider Mirada (MIRA) has extended the term for its revolving credit facility by 12 months to the end of November 2021. Earlier this month, Mirada launched a lower cost version of its technology. Iris in Swift Mode is a pre-packaged platform.

Eddie Stobart Logistics (ESL) has acquired the Eddie Stobart brand from Stobart Group (STOB), which will have to change its name, for £10m. An annual fee of £3m was payable for the brand. This will be saved from now on. There have been some reductions in activity due to COVID-19, but grocery and e-commerce demand remain strong.

Cash shell Summerway Capital (SWC) has £5.55m in the bank as it continues to seek an acquisition.

MAIN MARKET

Contango Holdings (CGO) has published a prospectus relating to the acquisition of the Lubu coal project. The potential deal was announced more than one year ago. A £1.4m placing at 5p a share in January will finance costs and initial investment in the Lubu project. Readmission is expected on 18 June.

The Takeover Panel Executive has denied Moss Bros (MOSB) bidder Brigadier’s attempt to lapse its offer. Brigadier has asked for the ruling to be reviewed.

Pure Gold Mining Inc (PUR) has secured a $15m investment at $1.52 a share. This will be invested in the Red Lake Mine.

Loans to Shefa Gems (SEFA) totalling £1.25m have been converted at a premium to the market price. The shares issued account for 14.5% of the enlarged share capital.

British Honey Company (BHC) says its hand sanitiser has generated revenues of more than £500,000 since late March. This helps to offset the reduction in sales of alcohol products. There is sufficient alcohol available for the company’s requirements for the rest of the year. British Honey has appointed finnCap as corporate adviser and joint broker with Stanford Capital.

National Milk Records (NMRP) increased first quarter revenues by 1% to £5.61m. The growth comes from testing revenues with other revenues declining slightly. The company remains positive about the prospects for the dairy sector. The supply chain is rebalancing following a drop in demand for milk from coffee shops.

NQ Minerals (NQMI) says that the total gold resources at the Beaconsfield gold mine in Tasmania have increased to 1.454 million tonnes at 10.3g/t for 483,000 ounces of gold. This excludes any estimate for the upper section of the mine.

World High Life (LIFE) says the Love Hemp brand has increased online sales by 39% each month since January. The brand’s CBD products are being stocked by more retailers.

TechFinancials (TECH) has signed a separation agreement with the cofounders of Footies Ltd and it will own 100% of the business. The cofounders get the original source code from May 2019. TechFinancials is ending its B2B brokerage activities by 1 November.

Investment company Gunsynd (GUN) has consolidated 85 shares into one new share.

Adnams (ADB) has appointed Jenny Hanlon to replace Stephen Pugh as finance director, which is a role he has held for 16 years.

EPE Special Opportunities (ESO) reported a NAV of 266.48p a share at the end of April. That represents a decline from 317.18p a share in the latest quarter.

Best of the Best (BOTB) has sparked another profit upgrade following its trading statement. finnCap has raised its 2019-20 by 27% to £3.8m.

IP investment company Tekcapital (TEK) increased net assets by two-fifths to $22.3m, which is equivalent to 35 cents a share. The biggest gain in value was for Guident, where nearly $7m was added to the valuation. Alternative salt developer Salarius and medical devices company Bellascura also generated good increases. Hi-tech eyewear developer Lucyd’s value fell by nearly $2m. Tekcapital recently raised £925,000 at 10p a share. This will be invested in portfolio companies.

Lower costs meant that ClearStar (CLSU) made a lower loss than expected in 2019. The background checks provider had net debt of $300,000 at the end of the year and this has increased to $1m. The year commenced with a record order book but there have been delays and reductions in volumes.

Genedrive (GDR) has raised £7m at 80p a share to finance the development of two COVID-19 tests.

Filta Group Holdings (FLTA) has launched FiltaShield, a COVID-19 sanitising services. It has also combined with a technology company to provide temperature screening devices.

VR equipment supplier Immotion (IMMO) has raised money for the second time this year. It has raised £1.35m at 2.5p a share, which is much lower than the 7.25p placing price in February.

Beximco Pharmaceuticals (BXP) says that Bangladesh’s economic slowdown and disruption to supplies due to COVID-19 could hamper the fourth quarter of the year to June 2020. Even so, Beximco still expects to report annual sales growth.

ZOO Digital (ZOO) says that strong cash collections mean that it had cash of $700,000 at the end of March 2020.  Demand for localisation services weakened at the end of March but demand is recovering.

Hargreaves Services (HSP) has conditionally exchanged contracts for a 79 acre plot on the Hatfield site in South Yorkshire, which will be used to develop a national distribution centre for a retailer. The company is trading in line with expectations other than in the property business, where planned land sales will not complete before the end of May as originally anticipated.

JD Sports Fashion (JD.) has been told by the CMA that it has to sell Footasylum. The formerly AIM-quoted footwear retailer was acquired last year. An appeal is being considered.

BATM (BVC) has launched an antibody test for COVID-19 and sales have begun to European countries.

Argo Blockchain (ARB) mined 319.2 bitcoin during April, down from 333.8 the previous month. The revenues were £1.8m in each month.

Newbury Racecourse (NYR) continues to progress its development plans and some of the benefits are shown by the near-doubling of conference and events revenues in the first half. The remodelling of the main parade ring has been completed and a contractor appointed for work on the Royal Box, which will cost £2.5m. In the six months to June 2019, revenues were 3% higher at £7.57m, even though one race day was lost, and there was a slightly lower pre-exceptional loss of £317,000. There is a danger that legislation relating to fixed odds betting terminals could have a knock-on effect on Newbury’s revenues from bookies in the second half.

Shepherd Neame (SHEP) will be releasing its annual results on Wednesday. Peel Hunt expects pre-tax profit to be 5% lower at £11.2m, because there was no contribution from the Asahi brewing contract that ended in 2018. Excluding that contract, profit could have risen. Pubs have grown their like-for-like income and brewing volumes have recovered, but second half profit could be minimal. NAV of 1664p a share is forecast.

Healthcare IT provider DXS International (DXSP) has been hit by a short-term lack of sales activity in the NHS. In the year to April 2019, DXS reported an increased loss of £200,000, up from £46,000. Revenues dipped from £3.41m to £3.35m. More than £1m was spent on developing products during the year.

Ananda Developments (ANA) says that dry herb medical inhalation system Hapac has been refined and sales of the device and Hapac sachets are growing. However, legal uncertainty in Italy means that Hapac has been removed from sale while a court case over labelling and cannabis content is heard in Parma. There are plans to launch Hapac in other markets. Ananda has a 15% stake in Hapac’s owner. Edward Nealon has increased his stake in Ananda from 5.31% to 6.91%.

AfriAg Global (AFRI) says that Apollon Formularies, a Jamaican cannabis company where it owns 2.325% and it intends to acquire the rest of the shares, has completed a six week pilot opening of a medicinal cannabis therapy centre to treat patients.

Karoo Energy (KEP) is in discussions with investors so that the company can be recapitalised and settle outstanding creditors. NEX has agreed to defer the withdrawal of Karoo shares from trading ahead of the publication of a circular.

AFH Financial (AFHP) has bought another IFA. It is paying up to £3.2m for Wirral-based Broadleaf Financial Services.

LF Woodford Equity Income Fund and Woodford Patient Capital Trust own 50.6% of Rutherford Health (RUTH) following the latest cash injection of £12.5m at 176p a share.

AIM 

StatPro (SOG) is recommending a 230p a share cash bid from Confluence Technologies. That is a 55% premium to the market price and the share price has never been anywhere near that level. It is equivalent to more than 32 times last year’s earnings. Nearly two-thirds of the shares have agreed to accept the offer, which values the asset management software supplier at £161m.

Fulcrum Utility Services (LSE: FCRM) has managed to avoid publicity of its full year figures. On the plus side, they were released before the end of September so there is no danger of trading in the shares being suspended. They were in line with previous indications after multi-utility construction services provider Fulcrum and its auditors finally agreed on the way to interpret IFRS16, which relates to recognising revenues. Fulcrum is no longer allowed to take the revenues and profit from constructing its own utility assets through the income statement. Revenues were one-fifth higher at £48.9m, while underlying pre-tax profit improved from £7.9m to £8.6m. NAV is 20.5p a share.

Background and medical screening checks provider ClearStar (CLSU) grew its interim revenues by 17% to $11.6m and it is getting nearer to profitability. The underlying pre-tax loss was $500,000. This has prompted a small upgrade in the revenues forecast to $23.5m, but additional marketing costs mean that pre-tax loss is still likely to be $600,000. Net debt could be $700,000 at the end of 2019. Demand from the US labour market remains strong and ClearStar is building its presence in newer sectors.

Standard list shell AIQ Ltd (AIQ) is in talks to buy Alchemist Codes, a Malaysian IT consultancy and e-commerce app developer, for £2.3m in shares. Trading in the shares has been suspended. Due diligence is ongoing, and the shares will remain suspended until a readmission document relating to the reverse takeover is published. 

Advanced materials supplier Low and Bonar (LWB) is recommending a 15.5p a share cash bid from Germany-based FVB that values the company at £107m. The bidder says that its geographic reach will widen, and it will be able to enter the coated technical textiles market. Recent trading at Low and Bonar has been poor.

National Word (NWOR) is a standard list shell that has been launched by former Mirror boss David Montgomery so that he can acquire UK local newspapers.

Toiletries manufacturer Creightons (CRL) has agreed to acquire its premises in Peterborough for £3.8m. This needs to be agreed to be shareholders at a general meeting.

Argo Blockchain (ARB) has installed a further 1,000 cryptomining machines, taking the total to 6,000. That figure could double by next spring. In the six months to June 2019, Argo generated revenues of £2.93m and made a pre-tax profit of £947,000.

Proton Partners International (PPI) has set up a partnership with Northumbria Healthcare NHS Foundation Trust, which means that the company’s Rutherford Cancer Centre North East will treat 120-150 patients a year. Woodford Investment Management has a 46.15% stake in Proton.

AfriAg Global (AFRI) intends to increase its stake in medicinal cannabis company Apollon Formularies to 2.34%. The long-term plan is to make an all share offer for Apollon. The Jamaican operation of Apollon has completed its third cannabis harvest. AfriAg has raised a further £250,000 at 0.1p a share. Sativa Group (SATI) has appointed Cenkos as its corporate adviser and broker, replacing Peterhouse. Stanford Capital has been appointed as joint broker of medicinal cannabis products developer Ananda Developments (ANA) and Peterhouse is staying on as corporate adviser and joint broker. Stanford has been issued with 3.33 million warrants exercisable at 0.45p each.

First Sentinel (FSBN) has published its 2018 figures, which were hit by a loss on its investment in Curzon Energy (CZN) and this led to a halving of NAV to £671,000. There are plans for a £7m bond listing on Euronext. Trading in First Sentinel shares has recommenced.

Since the year end, rail safety products developer Wheelsure (WHLP) has received further orders from London Underground, DLR and Siemens in Germany. Wheelsure may need additional working capital.

Gunsynd (GUN) will receive 225 shares (22.5%) in Oyster Oil and Gas Ltd as part of a settlement with creditors. Oyster requires additional cash in order to finance work on exploration assets.

Skills verification platform Indorse, where Coinsilium Ltd (COIN) has a 10% stake, will receive an investment of up to $6.5m from Brand Capital, the investment arm of India media company Times Group. Indorse has been valued at $15m for this investment, which means that Coinsilium’s stake has increased in value by 350% to $1.5m.

AIM 

ULS Technology (ULS) has maintained its share of conveyancing transactions and reported flat pre-tax profit of £5.4m in the year to March 2019. This year will also be one of consolidation. Investment is being put into launching DigitalMove, which is an online platform that will make the business more efficient and provide access to additional customers. It can also be used to add new products and services.

Castleton Technology (CTP) is paying a maiden dividend of 1p a share. The provider of software and managed services to the social housing sector is expected to grow revenues by 7% this year and this could be supplemented by acquisitions. Strong cash generation means that there are spare debt facilities that can be used for acquisitions. This year pre-tax profit is forecast to improve from £5.6m to £6.4m.

Malvern International (MLVN) says that an unsettled claim means that there will be a profit shortfall in 2018. Originally a profit of £400,000 was expected but it will end up being just above breakeven. Trading in the first four months of 2019 is ahead of budget but the second half is the most important.

ClearStar Inc (CLSU) is on track this year even though the US market has softened. US unemployment has edged up, but the US remains the key market for the background checking services provider.

Telecoms marketing services provider Pelatro (PTRO) has won a contract with a large telecoms company in Asia. The contract is for the mViVa contextual marketing platform on a licence fee model. This contract and other recent work will add $1.5m to revenues. This provides an underpinning for the full year revenues forecast of $10.5m.

Diaceutics (DXRX) has acquired 16 million patient records a year to add to its patient data. Diaceutics has invested £1m to expand this global data.

Totally (TLY) has completed the acquisition of Greenbrook, which means that 90% of revenues will be generated by urgent care services. This deal should make Totally significantly profitable and enable it to start generating cash.

Some good news for Quartix (QTX) as subscriptions and new installations are increasing. This has led to a 5% upgrade in forecast 2019 revenues for the telematics business to £25.3m, although the profit forecast is unchanged at £6.5m.

Paragon Entertainment (PEL) intends to appoint an administrator following discussions with its bank, HSBC. There is not enough cash to pay all creditors.

MAIN MARKET 

Sports Direct International (SPD) is making a mandatory offer for GAME Digital (GAME) at 30p a share. The offer is open until 11 July. Sports Direct already has a 38.5% stake and it does not believe GAME can prosper on its own.

A major US customer is not going ahead with a contract with Nanoco (NANO) lasting until the end of 2019. The ending of the deal has nothing to do with the performance of the nanomaterial technology. Nanoco should have £6m in cash at the end of 2019.

BigDish (DISH) says its food booking platform is going live in Reading and Brighton, which is a particular region where expansion is targeted. BigDish says that it is fully funded to 2021.

Health and community care properties developer Ashley House (ASH) reported a much-improved profit for the year to April 2018. There was a strong second half performance because of the completion of four schemes. Full year revenues were flat at £18.5m, while pre-tax profit jumped from less than £100,000 to £1.8m, although that includes a £500,000 write back of a previous impairment charge. Net debt was reduced from £2.5m to £1.5m. The housing and health property pipeline is valued at £206m, covering 22 schemes. The F1 Modular business lost money last year but trading appears likely to improve.

Ananda Developments (ANA) has acquired $200,000 of convertible loan notes in iCAN Israel-Cannabis Ltd, which focuses on medicinal cannabis. This is the first investment for Ananda and the convertibles have an annual interest rate of 6%. The interests of Ananda director Charles Morgan have assigned $100,000 of the convertibles to the company. iCan has subsidiaries involved in organising cannabis symposiums and cannabis-based research services, plus a 5% stake in CannRx Technology Inc, which has developed liquid soluble cannabinoids for use in treatments, and a 20% stake in CMTREX, which is developing a trading platform for cannabis.

Nigel Wray has reduced his stake in High Growth Capital (HASH) from 5.99% to 4.72%. Healthperm Resourcing Ltd (HPR) non-executive chairman David Sumner has bought 29,230 shares at 190p each, taking his stake to 84.7%.

Early Equity (EEQP) says trading in the company shares will resume on 28 August. Trading had been suspended on 16 May. The resumption follows an agreement with NEX Exchange that will change how shares are distributed to related parties. Early Infinity Holdings (EI) is the exclusive distributor for Yicom Global, where Early Equity is a 47. 1% shareholder. EI’s agents sell the products in Malaysia and elsewhere in south east Asia. EI incentivises its agents by gifting them shares in Early Equity. These were deemed to be a gift rather than a trade, so they were not reported. A new nominee company with two trustees that are not shareholders in Early Equity has been set up. This will hold shares for the benefit of agents of EI. Agents will receive a warrant certificate. These agents own 46.7% of Early Equity and shares equivalent to 6.29% of the company will be transferred to the nominee company. Early Equity previously announced that it wants to move to a standard listing. The company’s NAV was £1.54m, including £429,000, at the end of 2017.

Coinsilium Group Ltd (COIN) is investing $125,000 in Bundle Network Ltd, which is developing an online platform that enables the trading of cryptocurrencies. Coinsilium will also receive Bundle Network crypto tokens.

MetalNRG (MNRG) has paid a $50,000 option fee, which could lead to the company gaining a 51% stake in a new company that holds the rights to the Kamyshanovskoye uranium project in the Kyrgyz Republic. The project has an inferred uranium resource that could be worth $144m at $26/lb, plus exploration upside. International Mining Company owns 100% of the project and it would be put into a new vehicle, where MetalNRG would inject cash to gain its majority stake. MetalNRG has 90 days to undertake due diligence and review data. If the option is not taken up the option fee would be converted into a 2.5% stake in the new vehicle.

VI Mining (VIM) is starting its drilling campaigns at minas Pampa and Rosario de Belen, while the vendors are in discussions about changes in the terms of the deals. The timing of the due payment has been extended while the talks continue.

Panther Metals (PALM) has appointed Ariana Resources (AAU) boss Dr Kerim Sener as a non-executive director.

Ecovista (EVTP) is asking for shareholder approval for a resolution that will enable it to issue up to 3.486 billion shares so that management can continue with its strategy.

AIM   

Gatemore Investments has increased its stake in TLA Worldwide (TLA), the company famous for issuing a profit warning after the market closed prior to Christmas 2016, from 7.4% to 12.2%. Bart Campbell has stepped down as executive chairman of TLA, but he will continue to receive his monthly salary until the end of the year.

Last year, revenues fell by nearly one-third to £24m at microwave electronic products supplier Filtronic (FTC) but it had already been flagged. The ending of a low margin contract meant that pre-tax profit fell from £2.16m to £1.23m, although that includes exceptional finance charges of £486,000 due to exchange rate movements. The broadband and wireless divisions are being merged because they have similar customer bases. There is net cash of £3.6m plus available bank facilities. Investment in new products continues and there is long-term demand from investment in 5G networks and security-related areas.

Marshall Motor (MMH) reported a decent set of figures given the tough new car market, which is exacerbated by the decline in diesel car sales. There was a small dip in continuing revenues but underlying pre-tax profit edged up to £16.4m. Used vehicle profit improved. The dividend is maintained at 2.15p a share. Trading will be even tougher in the second half, partly due to testing regulation changes, and full year profit is expected to decline from £29.1m to £24.2m. There is a strong balance sheet with a NAV of £201m.

Zamano (ZMNO) has ended discussions with its potential reverse takeover target. This means that cash is likely to be returned to shareholders.

Condor Gold (CNR) has been granted an environmental permit for developing a processing plant for the La India project by the Nicaragua authorities. Gold production could be 80,000 ounces a year from a single open pit. Accounts for the six months to June 2018, show cash of £1.57m.

Abzena (ABZA) is recommending a 16p a share cash bid from Astro Bidco, which values it at £34.4m. The life sciences company joined AIM four years ago when it raised £20m at 80p a share. It needs additional finance pumped into the business.

Oil and gas producer Empyrean Energy (EME) has received a $906,000 tax refund from the IRS from the 2016-17 tax year.

SalvaRx Group (SALV) is selling its business to a Toronto-quoted company in return for shares, most of which will be distributed to shareholders. The 94.2% stake in cancer drugs developer SalvaRx Ltd is being swapped for 757.9million shares in Portage Biotech Inc, which are deemed to have a value of $67.5m. SalvaRx shareholders will receive 18 Portage shares for each SalvaRx share they own if they approve the disposal. SalvaRx will retain around 100 million Portage shares and become a shell.

ClearStar (CLSU) has been named as preferred contract labour screening provider for Gulfstream Aerospace. This should contribute to a reduction in loss this year.

Premier African Minerals (PREM) has raised £750,000 at 0.18p a share. Premier plans a drilling programme of up to 2,750 metres to expand the resource base at the RHA Tungsten mine. The cash should last until the end of 2018.

MAIN MARKET  

Tex Holdings (TXH) reported a slump in interim pre-tax profit from £423,000 to £96,000 even though there was a small reduction in admin expenses. There was a much better contribution from the plastics division but that was more than offset by the slump in profit by the engineering division due to delays in orders. Metal fabrication and powder coating business Argento UK has recently been bought. The interim dividend is unchanged at 2.5p a share.

Nanoco (NANO) expects the first displays using its cadmium-free quantum dots to be launched before Christmas. Volume production is expected at the new Runcorn plant before the end of 2019. The 2017-18 revenues were lower than expected because it could not recognise a payment from a large customer. Net cash is estimated at £7.9m at the end of July 2018.

Dukemount Capital (DKE) reported an increase in full year loss from £177,000 to £286,000. The NAV was £379,000 at the end of April 2018. There is £148,000 in the bank. Dukemount is on the brink of moving forward with its first two supported living developments.

PV Crystalox Solar (PVCS) has settled its claim with a customer. The customer will pay a total of €28.8m, of which the outstanding payment of €14.3m will be paid at the end of November. The customer has also waived the delivery of the solar wafers that were supposed to be supplied.

Wines maker Chapel Down Group (CDGP) says that its open offer at 50p a share was oversubscribed. Excess applications will be scaled back. The additional £1.47m raised takes the total to £20m. BlackRock holds a 5.79% stake and Nigel Wray owns 16.2%.

Startup Giants (SUG) has made its first investment since floating. An undisclosed investment has been made in Go Show Ltd, which operates a brand marketplace designed to enable product placement deals (www.goshow.net), and it will be released when milestones have been achieved. Go Show initially applied for funding in 2015 and it has been mentored by Startup Giants. There is a target for revenue generation of up to £1m within 12 months. An accelerator round has also been launched by Startup Giants. It is aimed at early stage, UK-registered companies.

Coinsilium Group Ltd (COIN) has increased its shareholding in Indorse from 3% to 6.5% at cost of S$175,000. There is an option to acquire a further 3.5%, at the same cost, to take the stake to 10%. Indorse completed a token sales last September and those tokens are currently valued at $34m. The Indorse platform is designed to enable users to generate income from sharing their skills and validating the claims of others.

African Potash Ltd (AFPO) has entered into an agreement with Gibraltar-based TokenCommunities Ltd. This deal will help the blockchain joint venture that has also already been announced with FinComEco Ltd, which is developing platforms for agricultural markets in sub-Saharan Africa. TokenCommunities will advise on the deployment of tokens. The chain will link smallholder farmers, traders, brokers, storage, transportation and commodity buyers. There are plans for microloans to farmers at an annual interest rate of 12%, which is lower than existing rates. African Potash has completed the raising of £400,000 at 0.025p a share.

Black Sea Property (BSP) has completed the €2.76m purchase of four plots of land with permission to develop a camping complex. It has also invested €3.37 to help finance the development of the site, which could be completed by the middle of the year. Black Sea Property raised €3.53m at €0.01 a share late last year.

Lake Acquisitions (U.P) says that the contingent value rights holders will not get a distribution for 2017. The cumulative relevant revenues from the eligible nuclear power output was £41.1m. The cumulative base revenues were £41.9m.

UK Oil and Gas Investments (UKOG) has decided to drop its NEX Exchange quotation on 31 January. That is just over 27 months after it joined. The company says that there have been low levels of trading on NEX and it still has its primary quotation on AIM. Interestingly, oil and gas company UK Oil and Gas was formed many years ago out of the shell of a former technology equipment business, yet it is still classed under the technology hardware and equipment sub-sector of the technology sector in the AIM statistics.

AIM      

Nexus Infrastructure (NEXS) reported maiden full year results as a quoted company that were slightly better than expected. The housebuilding infrastructure provider reported a dip in pre-tax profit from £10.8m to £9.1m on flat revenues of £135m. The total dividend is 6.3p a share. A 2017-18 pre-tax profit of £10.8m is forecast.

Ilika (IKA) reported a significant cash outflow in the first half but the outflow should be reduced in the second half. Interim revenues trebled to £1m and full year revenues of £2.9m are forecast. The loss is reducing. There are licensing proposals with a handful of potential customers and any one of these could transform the fortunes of Ilika.

EKF Diagnostics (EKF) has confirmed that trading was strong in 2017 and EBITDA will be much better than the £8.8m forecast. EKF plans to spin-off its sTNFR biomarker technology into a separate company. This technology has no value in the balance sheet.

Hormonal disease treatments developer Diurnal Group (DNL) says that its Akindi treatment has performed well in a food matrix study in the US and it will be able to move onto the next stage in the process of gaining US approval. European approval for Akindi is expected in a matter of weeks. There was £14m in the bank at the end of 2017. The interims will be published on 12 March.

Lombard Risk Management (LRM) is recommending a 13p a share cash bid, which was nearly double the market price. The bid from rival financial services technology supplier is valued at £52.1m.

Somero Enterprises (SOM) has sparked another forecast upgrade with the 2017 pre-tax profit forecast rising 8% to $25.9m. Net cash should be at least $18.5m and that could rise by around $10m by the end of 2018. That leaves room for another special dividend as well as growth in the ongoing dividend. The tax changes in the US had already led to a one-fifth increase in the 2018 earnings per share forecast to 34.4 cents, which has been raised again to 36.8 cents.

Engineer Avingtrans (AVG) says that trading is on track and the integration of Hayward Tyler continues. A pre-tax profit of £2.2m is forecast for the year to May 2018 and this should generate nearly enough earnings to cover the forecast dividend of 3.6p a share.

Tough market conditions and adverse currency movements have not stopped motor dealer Marshall Motor Holdings (MMH) trading ahead of expectations. Forecasts had already been upgraded and the 2017 pre-tax profit estimate has been raised a further 2% to £28.8m. However, a decline in pre-tax profit to £23.5m is forecast for 2018.

Smart meter communications technology provider CyanConnode (CYAN) continues to progress but the timing of orders has been delayed. The order book is worth $100m but 2017 revenues were £1.2m and the loss more than £10m. This year’s revenues are forecast to be £10m and the loss £7m. There should be enough cash to last the whole of 2018.

Strategic Minerals (SML) generated fourth quarter revenues of $2.14m from magnetite ore sales at Cobre. The 2017 total revenues of $5.64m were quadruple the previous year. Strategic had $3.8m in the bank at the end of 2017.

Online Blockchain (OBC) has taken advantage of its rising share price to raise £1m at 100p a share.

Fashion retailer Footasylum (FOOT) increased revenues by one-third to £89.8m in the 18 weeks to 30 December 2017. The fastest growth came from e-commerce. The revenues for the 44 weeks to 30 December 2017 also improved by one-third to £173m. These are not like-for-like increases and six stores were opened in the past 18 weeks.

There was a small decline in the full year revenues of Shoe Zone (SHOE) from £159.8m to £157.8m. The shoes retailer did improve its gross margin from 62% to 63.2% but higher admin and distribution costs offset this and pre-tax profit fell from £10.3m to £9.5m. The total dividend was edged up from 10.1p a share to 10.2p a share. Net cash was £11.8m at the end of September 2017. The pension fund liability has fallen from £13.1m to £7.1m. Consumer demand and currency movements remain the main challenges.

BNN Technology (BNN) directors Harry Keiley and Lord Mancroft are following the nominated adviser out of the door. Mark Hanson becomes non-executive chairman.

Film completion contracts provider FFI Holdings (FFI) has acquired the motorsports entertainment insurance book of business from All Risks for $1.825m. The acquisition has been made by Reel Media, which itself was acquired before Christmas for $7.25m in total.

Background checking services provider ClearStar (CLSU) traded in line with expectations in 2017. Revenues were 11% higher at $17.8m and the loss was reduced. There was net cash of $1m. The loss should be further reduced in 2018.

Masawara (MASA) and Kimberly Enterprises (KBE) both plan to leave AIM. Two shareholders own 90% of Masawara. Minority shareholders are being offered 25p a share or the chance to convert the shares into preference shares. Eastern European property investor Kimberly has net liabilities of €24.1m and sold most of its property assets. The lease agreement for the Marina Dorcol project has been terminated.

Allergy Therapeutics (AGY) has completed the enrolment of its 560 plus patient phase III trial for a treatment for patients with allergic rhino conjunctivitis due to birch pollen. The results of the trial should be available before the end of this year. The potential market is worth around £3bn.

Two large clinical trial contracts have been delayed and this means that Cambridge Cognition (COG) 2017 revenues will be 18% lower than expected. This means that there will be a loss for the year.

Telematics equipment and services provider Quartix (QTX) pleased the market by growing its 2017 revenues by 5% to £24.4m. This means that earnings per share forecasts have been raised from 11.8p to 12.3p.

Geospatial software company 1Spatial (SPA) has won a five-year contract from the state of Michigan in the US worth $766,000. Liontrust has sold all its 9.35% stake.

Xeros Technology Group (XSG) has launched its domestic washing machine that can cut the use of water, detergent and energy by up to 50%. A second development agreement has been signed with a commercial washing machines manufacturer.

Oracle Power (ORCP) is acquiring the minority stake in coal mining lease owner Sindh Carbon Energy for up to £3.6m in shares.

APC Technology Group (APC) has acquired electronic components distributor First Byte Micro for £1.2m. In 2016, First Byte made a pre-tax profit of £194,000 on revenues of £1.3m.

Reconstruction Capital II (RC2) has acquired stakes in two funds that own 60% of Romanian paints and coatings supplier Policolor. This will mean that Reconstruction Capital II has an effective stake of 55.36% in Policolor and make it easier to liquidate the investment.

BOS Global (BOS) wants to raise £1.2m at 1.25p a share to settle debts and provide working capital. The software company says the directors will not be paid until April and one of them, William Giles, will subscribe up to £300,000 in the placing and open offer.

Connemara Mining (CON) has announced drilling results from the Mine River gold project in Wicklow and Wexford. Most of the intersections contained gold at grades of less than 1g/t but two were more positive with 4.53g/t over eight metres and 16.1g/t over two metres.

Versarien (VRS) is collaborating with an Asia-based global textiles manufacturer on incorporating graphene into fabrics via yarns and finishes.

E-commerce-focused cash shell AIQ Ltd (AIQ) soared as trading commenced on the standard list and trading in the shares had to be suspended after three days. There appear to have been nearly 1.4 million shares traded over three days, which is 2.8% of the shares in issue. Cayman Islands-based AIQ, raised £3.6m after expenses, at 8p a share. The suspension price is 125p. That means that the quotation and £3.6m in cash are valued at £62.5m. The plan is to seek an e-commerce acquisition, which has a strong management and is near to cash generation.

Bio-decontamination products supplier Bioquell (BQE) has completed the £122,000 disposal of the UK AirFlow parts and manufacturing business and received the final £70,000 for the sale of the service business. There was already net cash of £14.5m at the end of 2017. Full year revenues were better than expected at £29.3m, up from £26.8m and pre-exceptional profit will be much better, even before the £250,000 gain on the Airflow disposals. The 2017 figures will be published on 7 March.

Software supplier Gresham Technologies (GHT) says 2017 revenues were 24% ahead to £21.3m and more of these revenues are coming from Clareti enterprise data integrity software. There is £8.5m in the bank. Kestrel has trimmed its stake from 14.9% to 12.5%.

BATM Advanced Communications (BVC) has won a cyber communication technology contract with a government worth $4m over 12 months. Delivery will start in the second quarter of 2018.

Thomas Charlton has further increased his stake in North Midland Construction (NMD) from 7.24% to 8.2%. This appears to have sparked a recovery in the share price.

Avocet Mining (AVM) has deferred the completion the sale of its Burkina Faso assets for $5m. The buyer, the Balaji group of companies, wants more time to settle a claim from International Royalty Corporation, a creditor of the holding company of the assets. Avocet has received a deposit of $500,000.

Bluebird Merchant Ventures Ltd (BMV) has announced the results of preliminary grab samples from the Gubong gold mine. The majority of samples had gold grades of more than 1g/t and silver grades of 10g/t or more.

Zenith Energy Ltd (ZEN) has entered an exclusivity agreement for the acquisition of production and exploration licences in a Central Asian country. Azerbaijan-focused Zenith would be acquiring assets in a proven petroleum system and they produce 250 barrels of oil per day.

Rainbow Rare Earths (RBW) has started drilling at the Gakara project in Burundi. Gakara has an estimated in situ-grade of 47%-67% total rare earth oxide. The drilling is focused on the production area at Gasagwe and anomalies that have been identified. The first results will be in April. A second phase of drilling is planned later in the year and this could produce a JORC-compliant resource before the end of 2018. Production is building up and the run rate target for the end of 2018 is 5,000tpa. In December, Rainbow raised £2.8m at 14p a share in an oversubscribed placing. The cash will be used to acquire capital equipment.

Renewable electricity supplier Good Energy (GOOD) says rival Ecotricity, which owns 25.3% of Good Energy, has requisitioned a general meeting to get two directors, Dale Vince and Simon Crowfoot, on the board. Ecotricity founder Dale Vince believes that because of the significant stake he deserves representation on the board but Good Energy argues that it would not be in its interest to have a rival on the board with access to group information. Vince has been critical of contracts between Good Energy and chief executive Juliet Davenport’s husband. MetalNRG (MNRG) has acquired 18.18% of US Cobalt and an option to purchase the rest. The main interest is the Columbia Pass high grade cobalt exploration and development project in Nevada. The initial stake will cost $200,000 (£118,000) and the option cost $50,000 (£30,000) in shares at 1.5p each. If it takes up the option, MetalNRG will pay £724,000 in shares at 1.5p a share. The vendors will also receive 40 million warrants exercisable at prices up to 10p a share. MetalNRG has also set up an Australian cobalt subsidiary. MetalNRG chief executive Paul Johnson has bought 300,000 shares at 1.5p each, taking his family’s stake to 11%.

Hydro Hotel, Eastbourne (HYDP) is starting to benefit from its new general manager’s strategic programme. Interim revenues grew from £1.33m to £1.52m but the loss increased because of repair costs. The second half generates all the profit.

Milamber Ventures (MLVP) has launched the Milamber Education Technology Fund in partnership with Innvotec. This is a hybrid EIS and SEIS fund. Milamber will help to identify potential education technology investments and Innvotec will raise funds and manage the fund.

Global Halal verification e-marketplace operator DagangHalal (DGHL) says it is taking longer than expected to penetrate markets. Management is considering widening the scope of the business. This could mean the acquisition of producers of Halal products.

Bulgaria-focused property company Black Sea Property (BSP) has gained the official approvals to acquire the UniCredit building and the purchase should be completed by the end of September. A deposit of €1.04m has been paid out of the total purchase price of €10.5m and Black Sea Property is raising the rest of the cash. If the cash is not raised then the deposit will be forfeited. Phoenix Capital Management is taking over from AG Asset Management as investment adviser but the same team will be handling the task. Phoenix owns Mamferay Holdings, which owns 28.65% of Black Sea Property and has lent it £100,000 in the form of a convertible which has to be repaid by 31 July.

AIM

Nostra Terra Oil & Gas (NTOG) has withdrawn its general meeting requisition at Magnolia Petroleum (MAGP) after it became clear that it had no chance of winning any of the votes.

Chisbridge Ltd has received acceptances totalling 49.6% for its 42p a share cash offer for InterQuest Group (ITQ) and the bid has been extended until 31 July. This means that independent shareholders owning 6.92% of the company have accepted the bid, which is up from just short of 3% previously.

First half trading at Pennant International (PEN) was strong and the order book was more than £42m at the end of June 2017. The order book stretches out into 2020 and there is a pipeline of other potential orders. Full year pre-tax profit is forecast to increase from £2.2m to £2.4m. There is a possibility of a return to paying dividends but that might have to wait until next year.

In the year to March 2017, AdEPT Telecom (ADT) reported a 19% increase in revenues to £34.4m, while underlying pre-tax profit improved from £5.5m to £6.9m. Net debt was £15.5m at the end of March 2017, following spending on acquisitions. The total dividend also rose by 19% to 7.75p a share. The growth in managed services is helping margins to improve. A profit of £7.4m is forecast for this year.

Premier Technical Services Group (PTSG) has increased its revolving credit facility from £10m to £12m and doubled the overdraft facility to £8m. This will provide additional working capital and funds for acquisitions following the recent purchase of Brooke Edge Industrial Chimneys Ltd for £14m.

Savannah Resources (SAV) has raised £1.3m at 5.25p a share and there is one warrant for every two shares issued exercisable at 6p. Two directors have subscribed for £500,000 worth of shares, including chief executive David Archer, and Al Marjan Ltd has subscribed £520,000 to take its stake to 29.3%. The money will be used on the lithium project in Portugal, the Mutamba heavy mineral sands project in Mozambique and the copper project in Oman.

The sale by Stanley Gibbons (SGI) of part of its interiors division to Millicent has been delayed. The buyer has not obtained the £2.25m initial payment because of a change in financial backers. Millicent has until the end of July to complete the acquisition.

Arian Silver Corp (AGQ) has raised £600,000 a 0.5p a unit, which is one share and one warrant exercisable at 0.6p. The cash will be spent on exploration of the three lithium projects where Arian has an option.

Botswana Diamonds (BOD) has discovered a group 2 kimberlite pipe on the Ontevreden licence held by Vutomi joint venture. A 1.5 hectares to 2.5 hectares area is thought to contain high levels of garnet. Drilling will help to better understand of the kimberlite and to find out if it is diamondiferous. A refined grade estimate has been published for the Frischgewaagt project in South Africa. This estimate has a range of 64cpht to 110cpht. The dyke system covers 7.5 kilometres.

Interim revenues will grow by two-fifths at cloud-based software provider Cloudcall Group (CALL) and recurring revenues will be 61% higher. The second quarter was the strongest quarter ever for new orders. Annualised revenues are £7m.

Camper & Nicholsons Marina Investments Ltd (CNMI) is raising £3.3m via a one-for-four open offer at 8p a share, a premium of 33% over the market price. The NAV was €0.154 a share at the end of 2016.

DX (Group) (DX.) has announced that its chief executive and finance director are leaving. The business is being reorganised into two divisions. Revenues are expected to be £292m in the year to June 2017. Net debt was £19.1m.

Sphere Medical (SPHR) is in discussions with potential investors in a share issue. A shortage of sensors has hampered first half sales of blood monitor Proxima 4.

Ramsdens Holdings (RFX) admits that there has been unauthorised access to its IT system but there should be minimal disruption to the pawnbroking business. Trading continues to be strong.

House broker Northland has increased its profit forecasts for online gaming marketing services provider Veltyco Group (VLTY) following its interim trading update. The 2017 pre-tax profit forecast has been upgraded from €4.62m to €5.82m, up from €1.74m in 2016. The 2018 profit forecast is €7.63m.

Rich Pro Investments Ltd has launched a 2.1p a share cash bid for ASA Resource Group (ASA) but the mining company has yet to recommend the offer. The bid values ASA at £35.5m. Rich Pro argues that the high level of creditors and other uncertainties makes its bid attractive.

Angling Direct (ANG) raised £9m at 64p a share when it joined AIM. The group has 15 stores and the retailer wants to be a consolidator in the fishing tackle market.

Venture Life Group (VLG) says that interim revenues will be 28% higher at £7.8m and like-for-like growth was 18%. New product listings will help further growth in the second half.

An interim trading statement by ClearStar Inc (CLSU) suggests that it should be able to meet expectations this year. The employee background checks provider says that the improving employment levels in the US and international growth are helping growth, as is the demand for medical testing. Interim revenues are expected to increase by 12% to $8.9m. A full year loss is still expected.

Sunrise Resources (SRES) is starting drilling at its CS pozzolan-perlite project and it should take around one week to complete. Eleven trenches have been excavated and ten of them contain pozzolan and/or perlite. Sample results will be available in fewer than ten weeks.

Housebuilding infrastructure services provider Nexus Infrastructure (NEXS) has joined AIM. Although £35m was raised by existing shareholders via a placing at 185p a share, the company, which was valued at £70.5m, is not raising any new money. There is already cash in the bank. The share price ended the first week at 188p. In the year to September 2016, revenues grew from £130.9m to £135.7m. That growth appears modest but a change in the mix of business helped underlying pre-tax profit improve from £9.4m to £11m. However, the latest interim profit was lower because of delays to contracts for earthworks business Tamdown. At the end of May 2017, the group order book was worth £187m.

Abzena (ABZA) has secured another licensing deal for its ThioBridge antibody drug conjugate linker technology with a Taiwan pharma company. The value of the deal could be up to £128m in development and commercial milestones.

House broker finnCap has upgraded its 2016-17 forecast for Mortice Ltd (MORT) after a positive trading statement by the security and facilities management services provider. The pre-tax profit forecast has been raised from $5m to $5.3m. Trading in the first quarter of the current financial year shows a 12% increase in revenues even though currencies have moved against Mortice and there were similar increases for each part of the group. Like-for-like growth was 5%.

MAIN MARKET

Standard list shell Rockpool Acquisitions (ROC) floated on 12 July and the share price ended the week at 10.5p. Rockpool is raising £1.085m at 10p a share, having previously issued 1.875 million shares at 8p each.

Fandango Holdings (FHP) also joined the standard list on 12 July. The shell raised £840,000 at 1p a share and is seeking to acquire a company valued at between £1m and £20m. The share price ended the week at 1.25p (1p/1.5p).

PV Crystalox Solar (PVCS) is closing its silicon ingot block manufacturing facility in the UK in the third quarter. The blocks will be sourced from an external supplier. The judgement relating to a customer which failed to buy the amount of wafers it was supposed to is expected by the end of September.
